What the Distilling Industry Contract Covers

The Distilling Industry Contract is a customizable commercial agreement that documents the terms between distillers, distributors, and third-party partners for production, tolling, warehousing, and sales of distilled spirits. It defines responsibilities such as production specifications, quality control, excise tax compliance, shipping and labeling obligations, payment terms, insurance, and dispute resolution. The contract can include regulatory clauses addressing federal alcohol excise tax reporting, state liquor licensing, and grain or ingredient sourcing requirements. This template supports both small craft distilleries and larger producers by standardizing obligations and clarifying risk allocation across the supply chain.

Why a Formal Contract Matters for Distillers

A Distilling Industry Contract clarifies allocation of regulatory obligations, reduces disputes over production and labeling, and establishes payment and delivery terms aligned with excise reporting. Clear written terms help distillers meet federal excise tax requirements and state licensing conditions while limiting commercial risk.

Why a Formal Contract Matters for Distillers

Who Typically Uses This Contract and Why

Typical users of a Distilling Industry Contract include distillers, distributors, brokers, co-packers, warehousing providers, and contract manufacturers.

  • Independent craft distilleries managing tolling, packaging, and labeling arrangements with third-party processors.
  • Distributors negotiating supply schedules, pricing tiers, and returns policies across state lines and license requirements.
  • Contract manufacturers (co-packers) providing production, bottling, storage, and quality-control services under SLA terms.

Use industry-specific clauses to address excise tax reporting, label approval, ingredient sourcing, and any state liquor board conditions.
