WHEREAS

WHEREAS, Authorizing Party manufactures or controls certain products and associated trademarks and desires to appoint Distributor to distribute those products under the terms of this Authorization; and

WHEREAS, Distributor represents that it has the facilities, experience, and commercial channels necessary to market, sell, and service the products within the agreed territory and subject to the limitations set forth herein; and

WHEREAS, the parties desire to set forth the scope, payment terms, confidentiality obligations, and the term and termination rights of the distribution arrangement.

AUTHORIZATION

Subject to the terms of this Authorization, Authorizing Party hereby grants to Distributor the non-exclusive/exclusive right to market, distribute and sell the following products within the territory and channels specified below, in accordance with the restrictions and quality standards set forth by Authorizing Party.

Either party may terminate this Authorization for material breach by the other party if the breach is not cured within the notice period stated above. Termination shall not relieve either party of obligations accrued prior to the effective date of termination.

CONFIDENTIALITY

Each party acknowledges that in the course of performance it may receive Confidential Information of the other party. Confidential Information means non-public information disclosed in any form that is designated as confidential or that a reasonable person would understand to be confidential. Recipient shall: (a) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care; (b) use Confidential Information solely to perform its obligations under this Authorization; and (c) not disclose Confidential Information to third parties except to employees, agents or contractors who have a need to know and who are bound by confidentiality obligations no less protective than those herein. Confidentiality obligations survive termination for a period of three (3) years.

INDEMNITY

Distributor shall indemnify and hold harmless Authorizing Party from and against any third-party claims arising from Distributor's marketing, sale, distribution, or storage of products, except to the extent such claims are caused by Authorizing Party's gross negligence or willful misconduct. This indemnity includes reasonable costs of defense, judgments and settlements.

GOVERNING LAW

This Authorization shall be governed by and construed in accordance with the laws of the State of , without regard to its choice-of-law rules.

ENTIRE AGREEMENT

This Authorization, together with any exhibits or schedules referenced herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. Any modification must be in writing signed by both parties.
