Scope of Work

Distributor shall perform distribution services including receiving, staging, transport, delivery, and unloading as required to effect the transfer described above. Services shall be provided in a commercially reasonable manner consistent with industry standards.

Payment Terms

In consideration for the distribution services and transfer of goods, Recipient shall pay Distributor the fees set forth below. All payments are due as provided in this Agreement and are subject to the invoicing and dispute procedures below.

Late Payment: Any undisputed amount not paid when due shall accrue interest at the rate of % per month, or the maximum rate permitted by law, whichever is less.

Term and Termination

This Agreement commences on Start Date: and shall continue until End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate for material breach if the breaching party fails to cure within a commercially reasonable cure period not to exceed 30 days following written notice.

Confidentiality

Each party shall keep confidential all non-public business information disclosed in connection with performance under this Agreement. Confidential Information does not include information that is or becomes generally available to the public other than by breach of this Agreement, or is rightfully received from a third party without obligation of confidentiality.

Confidentiality Acknowledgement: I acknowledge that I will maintain Confidential Information in accordance with this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

Entire Agreement

This Agreement, including all attachments and the Distribution Receipt details recorded herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

Recipient hereby acknowledges receipt of the items listed above, certifies that quantities and conditions have been verified at the time of delivery except as noted in the Discrepancies section, and agrees to the payment and other terms set forth in this Agreement.
