What a Distribution Support Agreement Covers

A Distribution Support Agreement is a contract that defines the responsibilities between a manufacturer or supplier and a distribution partner for supporting, marketing, selling, and servicing specified products or services. It allocates territories, enumerates support levels (technical, warranty, training), sets pricing and payment terms, and establishes performance metrics and reporting. The agreement also addresses intellectual property licensing, confidentiality, dispute resolution, and termination conditions. Parties commonly use this document to reduce operational ambiguity, preserve channel margins, and create enforceable obligations that govern ongoing distribution relationships.

Why parties rely on a Distribution Support Agreement

A clear Distribution Support Agreement reduces disputes by defining roles, SLAs, territory limits, compensation, and escalation paths. It preserves commercial expectations across sales, marketing, and field support while providing a contractual basis for enforcing performance, invoicing, and intellectual property protections.

Why parties rely on a Distribution Support Agreement

Who typically prepares and signs this agreement

Typical users include internal channel managers, legal counsel, procurement teams, and authorized distribution representatives responsible for commercial relationships.

  • Manufacturers and suppliers defining authorized reseller or dealer obligations and product support levels.
  • Distributors, resellers, and value-added partners accepting territory, pricing, and support commitments.
  • Legal, compliance, and finance teams reviewing liability, tax, and payment provisions prior to execution.

The agreement is signed by authorized corporate officers or delegates with signature authority; confirm signatory authority to avoid execution challenges.

Step-by-step: completing the Distribution Support Agreement

Follow this sequence to prepare, review, and execute the agreement efficiently.

  • 01
Gather Inputs: Collect legal names, SKUs, territory maps, pricing, and SLA metrics.
  • 02
Draft Scope: Define support services, deliverables, and exclusions in clear terms.
  • 03
Review Terms: Have legal, tax, and finance review payment, indemnity, and IP clauses.
  • 04
Execute: Confirm signatory authority and sign electronically or in wet ink per company policy.

Core clauses to include for a professional agreement

Ensure the agreement contains these essential sections to make channel obligations clear and enforceable.

Scope of Services

Describe services the distributor must provide, including marketing, warranty handling, installation support, training, and any limits or exclusions to scope.

Territory & Rights

Define exclusive or non-exclusive territories, channel restrictions, sub-distributor rules, and conditions that modify territorial rights.

Service Levels

Specify response times, escalation procedures, uptime targets, and remedies for missed SLAs, including credits or termination triggers.

Pricing & Payments

State list prices, discounts, invoicing cadence, payment terms, currency, taxes, and consequences for late payment.

IP & Confidentiality

Allocate ownership of intellectual property, license scope, permitted use, and confidentiality obligations for proprietary materials.

Term & Termination

Include initial term, renewal conditions, notice periods, termination for cause/for convenience, and post-termination obligations.

Required information to include on the agreement

Legal Entity: Full corporate name
Address: Street, city, state, ZIP
Tax ID: EIN or TIN
Primary Contact: Name and email

Common drafting mistakes to avoid

  • Using vague territory language that leaves allocation and enforcement to interpretation, triggering disputes.
  • Failing to quantify service levels or response times, which prevents meaningful SLA enforcement and remedies.
  • Omitting signatory authority checks, resulting in unsigned or unauthorised execution and later repudiation.
  • Neglecting tax, customs, or reseller permit obligations, creating post-signing compliance and withholding liabilities.

Key risks and potential consequences

Contract Dispute: Litigation risk
Payment Delay: Cashflow harm
Breach of Exclusivity: Lost rights
Regulatory Risk: Fines or audits
Tax Liability: Withholding exposure
Data Breach: HIPAA/PI exposure

Distribution and eSubmission platforms to consider

  • File Formats: PDF, DOCX, HTML
  • Security: TLS 1.2/1.3; AES-256 at rest

Ensure the chosen provider supports your authentication level (email, SMS, KBA) and any required compliance addenda such as HIPAA BAA or 21 CFR Part 11.

Typical routing and submission workflow

This simple flow explains where the agreement goes and who acts at each step during execution.

  • Upload Document: Sender uploads finalized agreement to the eSignature platform.
  • Assign Fields: Place signature, initial, and date fields for each party.
  • Send to Signers: Platform delivers signing links or email invites to signers.
  • Archive & Distribute: Signed copies and audit trail are saved and shared with stakeholders.
