DISTRIBUTOR AGREEMENT

This Distributor Agreement ("Agreement") is made as of between Manufacturer: , organized under the laws of , with its principal place of business at (hereinafter "Manufacturer"), and Distributor: , organized under the laws of , with its principal place of business at (hereinafter "Distributor").

RECITALS

WHEREAS, Manufacturer manufactures and sells the products described in Schedule A attached hereto and incorporated herein (the "Products"); and

WHEREAS, Distributor desires to obtain the right to purchase and resell the Products in the Territory defined below, and Manufacturer desires to appoint Distributor on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties wish to set forth their mutual rights and obligations regarding sales, marketing, support and distribution of the Products.

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth herein, the parties agree as follows:

1. DEFINITIONS

In this Agreement, unless the context otherwise requires, the following terms have the meanings set forth below:

"Territory" means the geographic area specified as:

"Products" means the products and product families described in Schedule A:

2. APPOINTMENT

Manufacturer hereby appoints Distributor, and Distributor accepts appointment, as a Exclusive Non-Exclusive distributor to market, promote, sell and distribute the Products within the Territory, subject to the terms and conditions of this Agreement. Distributor shall not represent itself as an agent of Manufacturer for any purpose other than as expressly set forth herein.

3. TERM

The term of this Agreement begins on the Effective Date set forth above and continues for an initial period of years, unless earlier terminated in accordance with Section 12. Thereafter this Agreement shall automatically renew for successive one (1) year periods unless either party gives written notice of non-renewal at least days prior to the end of the then-current term.

4. ORDERS, PRICING AND PAYMENT

Distributor shall submit purchase orders to Manufacturer in writing. Manufacturer shall use commercially reasonable efforts to accept such orders. Prices for Products shall be as set forth in Schedule B or as otherwise agreed in writing. Manufacturer reserves the right to change prices upon days' prior written notice.

Payment terms are net days from invoice date unless otherwise agreed in writing. Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. Distributor shall be responsible for all taxes, duties and governmental charges, except Manufacturer's income taxes.

5. MINIMUM PURCHASE REQUIREMENTS

Distributor agrees to purchase from Manufacturer during each twelve (12) month period a minimum quantity or value of Products equal to . Failure to meet minimum purchases shall entitle Manufacturer to terminate the Agreement or modify Distributor's rights upon thirty (30) days' written notice.

6. DELIVERY; INSPECTION; RETURNS

Delivery terms are FOB Manufacturer's facility unless otherwise agreed. Distributor shall inspect Products promptly upon receipt and shall notify Manufacturer in writing of any nonconformity, shortage or defect within days. Manufacturer's sole obligation for defective Products shall be, at Manufacturer's option, repair or replacement or credit of the purchase price if returned in accordance with Manufacturer's return policy.

7. TRADEMARKS, CONFIDENTIALITY AND INTELLECTUAL PROPERTY

Manufacturer grants Distributor a limited, non-exclusive (unless checked otherwise above), non-transferable license to use Manufacturer's trademarks and trade names solely in connection with the marketing, sale and distribution of the Products in the Territory in accordance with Manufacturer's trademark usage guidelines. Distributor shall not modify or remove any trademark or proprietary notice on the Products or packaging.

Each party shall keep confidential all Confidential Information of the other party and shall use such information only for performance of this Agreement. "Confidential Information" includes pricing, customer lists, technical data, specifications and business plans, but does not include information that is publicly known or rightfully obtained from a third party.

8. WARRANTIES; LIMITATION OF LIABILITY

Manufacturer warrants that the Products, at the time of delivery, will conform to Manufacturer's specifications as set forth in Schedule A. EXCEPT FOR THE EXPRESS WARRANTY SET FORTH IN THIS SECTION, MANUFACTURER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES.

9. INDEMNIFICATION

Distributor shall indemnify, defend and hold Manufacturer harmless from and against any claims, liabilities, losses and expenses arising out of Distributor's negligence, willful misconduct, breach of this Agreement or violation of applicable law. Manufacturer shall indemnify Distributor for claims that Products infringe third party intellectual property rights, provided Manufacturer is given prompt notice and sole control of the defense and settlement.

10. TERMINATION

Either party may terminate this Agreement for material breach by the other party that remains uncured after thirty (30) days' written notice specifying the breach. Manufacturer may terminate for Distributor insolvency, assignment for benefit of creditors, or ceasing business immediately upon written notice.

11. EFFECTS OF TERMINATION

Upon termination, Distributor shall cease use of Manufacturer's trademarks, return or destroy confidential materials as directed, and pay all outstanding sums. Termination shall not relieve either party of liabilities accrued prior to termination. Distributor may sell off existing inventory for a burn-off period of days subject to payment in full and compliance with trademark requirements.

12. ASSIGNMENT

Neither party may assign or transfer this Agreement or any rights hereunder without the prior written consent of the other party, except that Manufacturer may assign to an affiliate or in connection with a merger or sale of substantially all assets without consent. Any attempted assignment in violation of this Section shall be void.

13. NOTICES

All notices required or permitted hereunder shall be in writing and sent to the addresses below by certified mail, overnight courier, or delivered personally. Notice shall be effective upon receipt.

14. AMENDMENT; WAIVER; COUNTERPARTS

No amendment or modification of this Agreement shall be effective unless in writing and signed by both parties. Failure to enforce any provision shall not constitute a waiver of future enforcement. This Agreement may be executed in counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument.

15. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles. This Agreement, including all schedules and exhibits, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings and agreements. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
