Payment Mechanics

Withholding, Taxes and Reporting

The Company may withhold from the amount otherwise payable to the Shareholder any taxes, fees or other amounts required by applicable law. The Shareholder represents and warrants that Shareholder's taxpayer identification information has been provided to the Company and agrees to provide such documentation as the Company reasonably requests for tax reporting purposes.

Representations and Warranties

Each Party represents and warrants to the other that: (a) it has full corporate power and authority to enter into and perform this Agreement; (b) the person executing this Agreement on its behalf is duly authorized; and (c) the execution and performance of this Agreement will not violate any agreement, law or order applicable to it.

Covenants; Conditions Precedent

Payment under this Agreement is conditioned upon satisfaction of all applicable corporate authorizations and any regulatory filings or consents required by law. The Company shall not be obligated to make any distribution until such conditions are satisfied.

Indemnification and Limitation of Liability

Each Party shall indemnify and hold the other harmless from and against any losses, liabilities, claims, costs or expenses arising out of a breach of such Party's representations, warranties or covenants under this Agreement. Except for willful misconduct or gross negligence, neither Party shall be liable for special, incidental, consequential or punitive damages.

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below (or such other address as a Party may designate in writing).

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. Any dispute arising under this Agreement shall be resolved by arbitration or court action as mutually agreed by the Parties; absent agreement, the Parties submit to the exclusive jurisdiction of state or federal courts located within that State.

Entire Agreement; Amendment

This Agreement constitutes the entire agreement of the Parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. This Agreement may be amended only by a written instrument executed by both Parties.
