DIVIDEND PAYMENT AGREEMENT

Parties and Effective Date

This Dividend Payment Agreement (the Agreement) is entered into on (Effective Date) by and between:

WHEREAS, the Company has authorized the payment of dividends to certain shareholders pursuant to its corporate governance procedures and applicable law; and

WHEREAS, the Shareholder is a record holder of shares of the Company entitled to receive the dividend described herein and the parties desire to set forth the terms and conditions for the calculation and payment of such dividend;

"Record Date" means .

"Payment Date" means the date or dates on which the Company will remit dividend payments as set forth in Section Payment Schedule below.

Payment Mechanics

Payment shall be made to the Shareholder by the method selected below. The Company will use reasonable efforts to effect payment on the Payment Date, subject to satisfaction of Conditions Precedent set forth herein.

Withholding and Taxes

The Company shall withhold any taxes required by applicable law from dividend payments. If withholding is required, the Company will notify the Shareholder and provide a statement identifying the amount withheld. The Shareholder represents that it is responsible for reporting and paying any taxes due beyond amounts withheld by the Company.

Representations, Covenants and Conditions Precedent

The Company represents that it has taken all corporate actions necessary to authorize the dividend payment. The Shareholder represents that it is the beneficial owner of the shares reported to the Company on the Record Date and has full authority to receive payment.

Payment is conditioned upon: (a) completion of required corporate approvals; (b) accuracy of Shareholder records as of the Record Date; and (c) receipt by the Company of any documentation reasonably requested to comply with tax or regulatory obligations.

Defaults and Remedies

If the Company fails to make a scheduled payment when due (and such failure continues for a period of 10 days after written notice), the Company shall pay interest on the unpaid amount at a rate equal to 1.5% per month (or the maximum rate permitted by law, if lower) from the due date until paid. The remedies described herein are cumulative and do not exclude any remedies available at law or in equity.

Indemnification

Each party agrees to indemnify, defend and hold harmless the other party from and against any losses, liabilities, claims, damages and expenses (including reasonable attorneys' fees) arising out of any breach of the representations, warranties or covenants in this Agreement, except to the extent caused by the indemnified party's gross negligence or willful misconduct.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the parties at the addresses set forth above or to such other address as either party may designate by notice to the other.

Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of , without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for resolution of disputes arising under this Agreement.

Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and agreements. No modification of this Agreement will be effective unless in writing and signed by both parties. If any provision is held invalid, the remaining provisions will remain in full force and effect.
