DJ PERFORMANCE CONTRACT

This Performance Agreement is made on by and between Artist Name: ("Artist"), and Client/Promoter Name: ("Client"). Artist and Client are collectively referred to herein as the Parties.

RECITALS

WHEREAS, Artist is engaged in the business of providing live disc jockey and music programming services and represents that Artist possesses the skill, personnel, and equipment to perform such services;

WHEREAS, Client desires to engage Artist to perform at the event described below under the terms and conditions set forth in this Agreement; and

WHEREAS, Artist is willing to provide performance services to Client on the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual promises set forth below and other good and valuable consideration, the Parties agree as follows:

1. ENGAGEMENT

Client hereby engages Artist, and Artist accepts such engagement, to provide DJ performance services at the Event described in Section 2, subject to the terms and conditions of this Agreement.

Artist shall perform for a total of minutes, including any specified breaks. Any additional performance time requested by Client that is accepted by Artist shall be compensated at a rate agreed in writing prior to extension of performance.

3. COMPENSATION AND PAYMENT

Total Fee payable to Artist for the Engagement: $

Deposit: Client shall pay a non-refundable deposit of $ to secure the date. Deposit due by:

Balance: The remaining balance of $ is due no later than unless otherwise agreed in writing. Payments shall be made by the method indicated in Section 12 (Notices & Payments).

Late Payment: Any undisputed payment not received when due shall accrue interest at the rate of 1.5% per month until paid in full. Client agrees to reimburse Artist for reasonable costs of collection, including attorneys' fees.

4. CANCELLATION; FORCE MAJEURE

Client Cancellation: If Client cancels this Engagement more than thirty (30) days prior to the Performance Date, Client shall forfeit the deposit only. If Client cancels within thirty (30) days of the Performance Date, Client shall be liable for the full agreed Fee unless Artist secures a substantially comparable engagement for the same date.

Artist Cancellation: If Artist cancels, Artist shall refund all sums paid by Client and shall use commercially reasonable efforts to procure a competent replacement DJ acceptable to Client. If a replacement is not provided, Client's sole remedy shall be refund of amounts paid.

Force Majeure: Neither Party shall be liable for failure to perform where such failure is caused by acts beyond the reasonable control of the affected Party, including but not limited to acts of God, severe weather, government order, public health emergency, or civil disturbance. The Party affected shall notify the other promptly and the Parties shall negotiate in good faith to reschedule the engagement. If rescheduling is not reasonably practicable, the Parties shall follow the cancellation provisions above.

5. EQUIPMENT, TECHNICAL RIDER, AND HOSPITALITY

Artist shall provide the following equipment unless otherwise agreed in writing: professional DJ controller, mixer, laptop, and headphones. Client shall provide a suitable, secure performance area, electrical power, and any house sound reinforcement as required by Artist's rider.

Load-out: Artist shall complete load-out within of the end of the performance unless otherwise agreed.

6. INDEPENDENT CONTRACTOR

Artist shall perform services hereunder as an independent contractor and not as an employee, agent, or partner of Client. Artist retains sole discretion over method and manner of performance, personnel engaged, and equipment operation, subject to Client's reasonable event requirements.

7. INDEMNIFICATION AND LIMITATION OF LIABILITY

Mutual Indemnification: Each Party shall indemnify, defend, and hold harmless the other Party and its officers, agents, and employees from and against any claims, losses, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of the indemnifying Party's breach of this Agreement or the negligence or willful misconduct of the indemnifying Party.

Limitation of Liability: Except for indemnification obligations or willful misconduct, neither Party's aggregate liability under this Agreement shall exceed the total fees paid by Client to Artist under this Agreement. Neither Party shall be liable for incidental, consequential, special, or punitive damages.

8. INSURANCE

Artist shall maintain general liability insurance where reasonably required by Client for events of this size. Proof of insurance shall be provided to Client upon request. Client is responsible for venue insurance and security as required by venue rules and local regulations.

9. RECORDING, PHOTOGRAPHY, AND PROMOTION

Client may photograph or record the performance for archival and promotional use provided such use does not unreasonably interfere with Artist's performance. Artist grants Client a non-exclusive, royalty-free license to use any recordings or photographs of the performance for promotional purposes. Artist retains all rights to Artist's original mixes and musical selections; Client must obtain appropriate licenses for public performance where required.

10. CONFIDENTIALITY

Each Party shall keep confidential any non-public business information disclosed by the other Party in connection with this Agreement, except where disclosure is required by law or necessary to perform obligations under this Agreement.

11. NOTICES

Notices shall be delivered in writing by personal delivery, nationally recognized overnight courier, or certified mail, return receipt requested, and shall be effective upon receipt.

12. AMENDMENTS, WAIVER, COUNTERPARTS

Amendments: This Agreement may be amended only by a written instrument signed by both Parties. Waiver: Failure to enforce any provision shall not constitute a waiver of that provision. Counterparts: This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together constitute one instrument.

13. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles.

Entire Agreement: This Agreement, including any attached rider(s), constitutes the entire agreement between the Parties with respect to the subject matter and supersedes all prior negotiations and understandings.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
