DJ VENDOR AGREEMENT

Parties and Recitals

This DJ Vendor Agreement ("Agreement") is entered into between Client Name: with address: and Vendor Name: operating as with address: (collectively, the "Parties").

WHEREAS, Client desires to engage Vendor to provide disc jockey, sound, and related event entertainment services on the terms set forth herein; and

WHEREAS, Vendor represents that it possesses the professional qualifications, equipment, and experience to perform such services and agrees to provide services for the Event described below; and

WHEREAS, the Parties intend for this Agreement to set forth the full terms and conditions of Vendor's engagement for the Event.

Payment Terms

Any unpaid balance not received within days of the due date shall incur a late fee of of the overdue amount, compounded monthly until paid.

Term and Termination

This Agreement shall commence on Start Date: and shall remain in effect through End Date: unless earlier terminated in accordance with this section.

Either Party may terminate this Agreement for material breach by the other Party if such breach is not cured within days after written notice. Client may cancel without cause by providing written notice to Vendor at least days prior to the Event; cancellation fees may apply as set forth below.

If Client cancels fewer than days before the Event, Client shall forfeit the deposit and may be responsible for up to of the remaining contracted fee to compensate Vendor for lost opportunities and preparation costs.

Insurance, Equipment, and Responsibilities

Vendor shall maintain at its expense general liability insurance covering Vendor's operations for the Event. Vendor represents that required coverage is in place and shall provide proof of insurance upon Client's request.

Client shall ensure that the Event location provides required power, load-in access, and a safe working environment. Vendor is not responsible for failure of third-party equipment, venue power outages, or other conditions beyond Vendor's direct control.

Confidentiality

Each Party shall keep confidential any non-public information disclosed by the other Party that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential information does not include information that is or becomes publicly available through no wrongful act of the receiving Party, or information independently developed by the receiving Party without reference to the disclosing Party's confidential information.

Indemnification

Vendor shall indemnify and hold harmless Client and its officers, agents, and employees from and against any claims, liabilities, losses or expenses (including reasonable attorneys' fees) arising out of Vendor's negligent performance or willful misconduct in connection with the Services. Client shall indemnify and hold harmless Vendor for claims arising from Client's negligence or breach of this Agreement.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The Parties shall attempt in good faith to resolve disputes arising under this Agreement through negotiation; if unresolved, disputes shall be resolved in the courts located in the governing jurisdiction.

Entire Agreement and Amendments

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any modification or amendment must be in writing and signed by both Parties.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither Party may assign this Agreement without the prior written consent of the other, except that Vendor may assign to an affiliate or in connection with a sale of substantially all of its assets.
