Dock Execution Agreement

This Dock Execution Agreement (Agreement) is entered into as of Execution Date: by and between Dock Owner: with principal address , and Dock Operator: with principal address .

RECITALS

WHEREAS, Dock Owner is the lawful owner of the dock and appurtenant waterfront facilities located at (Dock) and holds authority to grant limited use and execution rights at the Dock; and

WHEREAS, Dock Operator desires to perform specified execution, maintenance, or installation works at the Dock for the berth identified as Berth No. and to obtain temporary rights of access necessary to complete that work in accordance with the terms of this Agreement; and

WHEREAS, the parties desire to set forth their respective rights, responsibilities, and financial arrangements with respect to the execution of the Works described herein.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. DEFINITIONS

Terms used in this Agreement have the following meanings: "Dock" means the physical structure and immediate appurtenances identified at dock location above; "Works" means the execution, installation, repair, maintenance, or related activities described in Section 3; "Effective Date" means Execution Date above; "Term" means the period specified in Section 9.

2. GRANT OF LICENSE

Subject to the terms and conditions of this Agreement, Dock Owner hereby grants to Dock Operator a limited, non-exclusive, revocable license to access and use the Berth identified above solely for the purpose of performing the Works during the Term and for such ancillary activities as are reasonably necessary to complete the Works.

3. SCOPE OF WORKS

Dock Operator shall perform the Works in accordance with the Specifications and Schedule attached or incorporated by reference. Dock Operator shall provide all labor, materials, equipment, and supervision necessary to perform the Works in a good and workmanlike manner, complying with all applicable laws, codes, and permits.

4. FEES, CHARGES AND PAYMENT

Dock Operator shall pay Dock Owner the fees set forth below for use of the Dock and performance of the Works. Fees shall be invoiced and payable pursuant to the Payment Terms. Late payments shall bear interest at the lesser of 1.5% per month or the maximum rate permitted by law.

5. ACCESS, SECURITY AND COORDINATION

Dock Operator shall coordinate with Dock Owner prior to commencing any Works. Access to the Dock shall be limited to agreed personnel and hours, and all personnel shall comply with Dock Owner's reasonable security, safety, and operational requirements. Dock Owner may require identification, insurance certificates, and proof of training prior to granting access.

6. MAINTENANCE, REPAIRS AND ALTERATIONS

Dock Operator shall, at its sole cost and expense, perform routine maintenance of any temporary works or equipment installed by it. Structural repairs to the Dock shall remain the responsibility of Dock Owner unless such repairs arise directly from Dock Operator's negligent acts or omissions, in which case Dock Operator shall promptly reimburse Dock Owner for reasonable repair costs.

7. INSURANCE AND INDEMNITY

Dock Operator shall maintain commercial general liability insurance, marine liability (if applicable), and workers' compensation insurance with limits not less than the amounts specified below. All policies shall name Dock Owner as an additional insured for claims arising out of the Works.

Dock Operator shall indemnify, defend, and hold harmless Dock Owner, its officers, employees and agents from and against any and all claims, liabilities, losses, costs, penalties and expenses (including reasonable attorneys' fees) arising out of or resulting from Dock Operator's performance of the Works, except to the extent caused by Dock Owner's gross negligence or willful misconduct.

8. ENVIRONMENTAL COMPLIANCE

Dock Operator shall comply with all environmental laws, regulations, and permits. Operator shall immediately notify Dock Owner upon discovery of any spill, release, or discharge of hazardous materials and shall be responsible for all cleanup, remediation and response costs resulting from Operator's activities or negligence.

9. TERM AND TERMINATION

The Term shall commence on and continue until unless earlier terminated as provided herein. Either party may terminate this Agreement for material breach by the other party upon providing written notice and a cure period of days; if the breach is not cured within such period, termination shall be effective.

10. ASSIGNMENT AND SUBLETTING

Dock Operator shall not assign, transfer or subcontract the whole or any part of its rights or obligations under this Agreement without the prior written consent of Dock Owner, which consent shall not be unreasonably withheld. Any purported assignment without such consent shall be void.

11. LIENS AND ENCUMBRANCES

Dock Operator shall promptly pay all contractors, subcontractors, and material suppliers engaged by Operator and shall keep the Dock free from liens arising from Operator's activities. Operator shall promptly discharge any lien it causes to be filed or provide a bond reasonably acceptable to Dock Owner to secure discharge.

12. NOTICES

All notices, demands, consents and approvals required or permitted under this Agreement shall be in writing and shall be delivered by hand, nationally recognized overnight courier, or certified mail, return receipt requested, to the addresses set forth below (or to such other address as a party may designate by written notice).

13. AMENDMENT; WAIVER; COUNTERPARTS

This Agreement may be amended only by a written instrument executed by both parties. No failure or delay by either party in exercising any right shall operate as a waiver thereof, nor shall any single or partial exercise preclude other exercises. This Agreement may be executed in counterparts and by electronic signature, each of which shall be deemed an original but all of which together shall constitute one instrument.

14. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Dock is located, without regard to conflict of law principles. This Agreement, together with any attached exhibits or schedules, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

MISCELLANEOUS

The parties acknowledge that time is of the essence with respect to performance of the Works. Each party represents and warrants that it has full power and authority to enter into this Agreement and that the person signing on its behalf is duly authorized to bind the party.
