Damage, Repairs and Hazardous Conditions

Tenant is responsible for damage to dock, piles, walkways or marina property caused by Tenant or Tenant's vessel; Marina may charge for repairs and recover costs as additional rent. Tenant shall not discharge oil, fuel or other hazardous substances. If such discharge occurs, Tenant shall be liable for cleanup and all resulting damages.

Default, Termination and Remedies

Failure to pay berth fees when due, violation of marina rules, abandonment of vessel, or failure to maintain insurance constitutes default. Upon default, Marina may terminate this Agreement, deny access to facilities, remove the vessel at Tenant's sole expense, and recover unpaid fees, repair costs, towing and storage charges, and reasonable attorneys' fees.

Indemnity and Limitation of Liability

Tenant shall indemnify, defend and hold harmless Marina and its agents, employees and contractors from and against any and all claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising from Tenant's use of the berth, Tenant's negligence, acts or omissions, vessel condition, or breach of this Agreement. Marina shall not be liable for loss or damage to Tenant's vessel or property except to the extent caused by Marina's gross negligence or willful misconduct.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Marina is located. This Agreement, together with any posted marina rules incorporated by reference and any attachments signed by the parties, constitutes the entire agreement between the parties with respect to dockage and supersedes all prior agreements or understandings, whether written or oral.
