DOCKAGE LEASE AGREEMENT

Vessel Use: Lessee shall use the assigned berth solely for docking the vessel identified in this Agreement. No commercial chartering, salvage operations, or hazardous operations are permitted without express written consent of Lessor.

Lessee shall maintain the vessel in a seaworthy and clean condition and shall not permit accumulation of hazardous or polluting substances. Lessee is responsible for securing lines, fenders and any personal gear located on the dock slip assigned to Lessee.

7. Maintenance and Repairs

Lessor is responsible for maintaining the structural integrity of docks, gangways and fixed electrical/water systems except to the extent damage is caused by Lessee, Lessee's vessel, guests or agents. Lessee shall be responsible for routine cleaning of the assigned slip area, fastening lines and fenders, and repair of damage caused by Lessee.

8. Insurance and Indemnity

Lessee shall maintain during the Term commercial general liability insurance covering bodily injury and property damage with limits of not less than per occurrence and hull insurance covering Lessee's vessel. Lessee shall provide a certificate of insurance naming Lessor as additional insured and evidencing required coverages prior to taking possession and upon each renewal.

9. Environmental Compliance

Lessee shall not store, dispose, or release hazardous substances, oily wastes, gasoline or diesel on docks or into the water. In the event of any spill, Lessee will immediately notify Lessor and appropriate authorities, contain and clean up at Lessee's expense, and indemnify Lessor for any response costs, fines or losses.

11. Default and Remedies

Default by Lessee includes failure to pay rent or other sums when due, abandonment of the vessel, failure to maintain insurance, or material breach of any term of this Agreement. Upon default, Lessor may terminate this Agreement in accordance with applicable law, remove and impound a vessel or personal property at Lessee's expense, recover unpaid rent, damages, interest at the maximum lawful rate, and attorneys' fees incurred to enforce Lessor's rights.

12. Termination

Either party may terminate a month-to-month tenancy by providing written notice in accordance with applicable law. For a fixed-term lease, termination prior to expiration requires mutual written consent except as otherwise provided for material breach, seizure by authorities, or casualty.

13. Assignment and Subletting

Lessee shall not assign this Agreement or sublet the assigned berth without the prior written consent of Lessor, which consent shall not be unreasonably withheld. Any attempted assignment or subletting without consent constitutes a material breach.

14. Casualty

In the event that the berth or docks are damaged or destroyed by fire, storm, casualty, or other hazard so as to render the berth unusable, Lessor may terminate this Agreement by written notice or, at Lessor's option, repair the damage within a reasonable time. Rent shall abate to the extent the berth is unusable.

All notices required or permitted under this Agreement must be in writing and are effective upon delivery when delivered by hand, held for signature by courier, or sent by certified mail to the addresses below (or to such other address as either party designates by notice):
