DOCKAGE RENTAL AGREEMENT

This Dockage Rental Agreement ("Agreement") is entered into as of by and between Lessor Name: (the "Lessor") and Lessee Name: (the "Lessee"). The parties agree as follows.

WHEREAS

WHEREAS, Lessor owns and operates the dockage facilities located at and is authorized to grant temporary berthing and use of assigned slips; and

WHEREAS, Lessee desires to lease dockage for the vessel described below under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend that the rights and obligations created herein govern the use, occupancy, and maintenance of the assigned slip for the Term specified below.

DOCKAGE AND FACILITY TERMS

Lessor grants Lessee a revocable license to occupy the assigned slip solely for the berthing and normal servicing of the Vessel described above. Lessee shall not sublet, assign, or transfer its rights without Lessor's prior written consent. Lessee shall keep the slip and adjacent walkway free of hazards, refuse, and any materials which may obstruct access or create a nuisance. Fueling, hazardous material transfer, and major repair work are permitted only with Lessor's prior written authorization and in compliance with applicable law.

PAYMENT TERMS

Late payments shall incur a late fee of on the outstanding balance, computed monthly until paid in full. Lessee shall be responsible for any costs of collection, including reasonable attorneys' fees and expenses.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Lessor may terminate immediately if Lessee fails to pay sums when due, materially breaches safety or environmental provisions, or creates an immediate hazard.

INSURANCE, INDEMNITY, AND SAFETY

Lessee shall, at its sole cost and expense, maintain marine liability and property damage insurance covering the Vessel and its operations in amounts no less than per occurrence and shall name Lessor as an additional insured to the extent of Lessor’s interest. Lessee shall provide certificates of insurance upon request and shall maintain compliance with all applicable safety and environmental laws.

Lessee agrees to indemnify, defend and hold harmless Lessor, its officers, agents and employees from and against any and all claims, liabilities, losses, damages, fines, penalties, and expenses (including reasonable attorney's fees) arising out of Lessee’s use of the dock, the Vessel, or Lessee’s negligent acts or omissions, except to the extent caused by Lessor’s gross negligence or willful misconduct.

CONFIDENTIALITY

Each party agrees that all non-public commercial terms of this Agreement, financial information, and proprietary business information disclosed by one party to the other in connection with this Agreement shall be treated as confidential and shall not be disclosed to third parties except as required by law or with the prior written consent of the disclosing party. This confidentiality obligation survives termination of this Agreement for a period of two (2) years.

GOVERNING LAW; COMPLIANCE

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of law principles. The parties agree to submit to the exclusive jurisdiction of the state and federal courts located in the applicable jurisdiction for any dispute arising under this Agreement.

NOTICES

ENTIRE AGREEMENT; SEVERABILITY

This Agreement, including any schedules and attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, proposals, and agreements, whether written or oral. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

MISCELLANEOUS

No waiver of any breach or default shall be effective unless in writing signed by the waiving party. Headings are for convenience only and do not affect interpretation. The parties agree to execute such further documents as may be necessary to carry out the intent of this Agreement.
