Either party may terminate this agreement for material breach if the breach remains uncured for days after written notice. Termination will not relieve the Requestor of payment obligations for services performed prior to termination.

Confidentiality

Each party shall keep confidential all non-public information disclosed in connection with the corrections, including draft and final versions of the Original Document, and shall not disclose such information to any third party except as required by law. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party.

Governing Law

This Form and any dispute arising out of or relating to the services described herein shall be governed by the laws of without regard to conflict of law principles.

Entire Agreement

This Form, together with any attachments or mutually executed amendments, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior representations, negotiations and agreements, whether written or oral.
