Recitals

WHEREAS, Sender is engaged in the business of preparing, assembling and forwarding tangible and electronic documents for delivery to clients and other designated recipients; and

WHEREAS, Recipient desires that Sender prepare and mail certain documents described in this Document Mail Out and to record the particulars of the mailing, and Sender is willing to perform such services on the terms and conditions set forth in this agreement;

WHEREAS, the parties intend that this Document Mail Out memorialize the scope, payment, handling and certification obligations associated with the mailing of documents identified below.

Scope of Work

Sender shall prepare, package and mail the documents described below to the Recipient at the Recipient Address above by the shipping method selected below. Preparation includes verification of attachments, proper addressing, and application of postage or shipping labels as required. Sender shall use commercially reasonable efforts to ensure complete and accurate transmission of the enclosed documents.

Sender certifies that the documents listed above were prepared and mailed in accordance with the instructions provided by Recipient and that, to the best of Sender's knowledge, the listing of enclosures and the recipient address are complete and accurate. Sender's certification is subject to the limitation that Sender is not liable for carrier delay, loss, misdelivery or damages once possession has been transferred to the selected carrier, except to the extent such loss arises from Sender's gross negligence or willful misconduct.

Either party may terminate this agreement for convenience upon written notice to the other party provided at least days prior to termination. Confidentiality

Each party shall keep confidential and shall not disclose to any third party any Confidential Information of the other party. "Confidential Information" means non-public information disclosed in connection with this Document Mail Out, including the contents of mailed documents, recipient addresses, and the terms of this agreement. The foregoing obligations do not apply to information that (i) is or becomes publicly available without breach of this agreement, (ii) was lawfully received from a third party without restriction, or (iii) is independently developed without use of the other party's Confidential Information. A party may disclose Confidential Information to the extent required by law, provided it gives prompt written notice to the other party to allow for protective measures.

Governing Law

This Document Mail Out shall be governed by and construed in accordance with the laws of the State of , without regard to conflicts of law principles.

Entire Agreement

This Document Mail Out, including any attachments or schedules executed contemporaneously, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, understandings and agreements, whether written or oral. Any amendment to this agreement must be in writing and signed by authorized representatives of both parties.
