Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period set forth above. Termination will not relieve either party of obligations accrued prior to termination.

CONFIDENTIALITY

Each party shall maintain in confidence all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information does not include information that: (a) is or becomes generally known to the public through no fault of the receiving party; (b) was rightfully known by the receiving party prior to disclosure; (c) is lawfully received from a third party without restriction; or (d) is independently developed without reference to the disclosing party's Confidential Information.

The receiving party may disclose Confidential Information to its employees, agents, or advisors who have a need to know, provided that such persons are bound by confidentiality obligations at least as protective as those in this Agreement. The receiving party shall use Confidential Information solely for the purpose of performing its obligations under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction of: without regard to its conflict of laws principles.

ENTIRE AGREEMENT
