Notwithstanding the foregoing, each party agrees to negotiate in good faith and to use commercially reasonable efforts to finalize a definitive agreement.

Governing Law

This Document of Intent shall be governed by and construed in accordance with the laws of without regard to conflict of laws principles. Any disputes arising under this Document of Intent shall be resolved in the courts of such jurisdiction unless the parties mutually agree otherwise in writing.

What a Document of Intent Is and When It Applies

A Document of Intent is a written statement that records the parties' preliminary agreement on key terms before a formal contract is executed. It typically summarizes objectives, proposed obligations, timelines, and any conditions that must be satisfied before a final agreement becomes binding. In many contexts it functions as a roadmap that clarifies expectations, allocates responsibilities, and preserves an audit trail for negotiations. The Document of Intent may be used across commercial, real estate, and healthcare transactions to document intent while parties complete due diligence or secure approvals.

Why a Document of Intent Matters for Clear Negotiations

A clear Document of Intent reduces misunderstandings, captures negotiable terms, and creates a record that aids internal approvals and regulatory review. It helps align stakeholders, shortens time to final agreement, and documents conditions precedent without committing parties to full contractual obligations prematurely.

Why a Document of Intent Matters for Clear Negotiations

Who Typically Prepares and Signs a Document of Intent

Parties should ensure the signatory has authority to bind their organization or be explicit that the document is non-binding where intended.

  • Business development teams coordinating an MOU or term sheet during negotiations.
  • Real estate brokers and buyers outlining material terms before executing a purchase contract.
  • Healthcare administrators documenting intent to contract for services pending regulatory review.

Essential Components of a Professional Document of Intent

A well-constructed Document of Intent organizes material points so readers can quickly determine scope, obligations, and next steps.

Parties

Full legal names and entity types for each party, with contact information and a designated representative for follow-up and notices.

Purpose

A concise statement describing the transaction's objective and the scope of activities contemplated during the negotiation phase.

Key Terms

High-level commercial terms such as price range, timelines, deliverables, payment structure, and any exclusivity or negotiation windows.

Conditions

Conditions precedent, regulatory approvals, financing contingencies, due diligence items, and deadlines that must be met to proceed.

Binding Clauses

Specify which provisions are binding (e.g., confidentiality, exclusivity, governing law) and which are non-binding to avoid ambiguity.

Signatures

Signature blocks with printed names, titles, dates, and authority statements to show who can act on behalf of each party.

Step-by-Step: Completing a Document of Intent

Follow these steps in order to prepare, review, and execute a Document of Intent with minimal rework.

  • 01
Draft terms: Summarize purpose, price, and key dates.
  • 02
Identify conditions: List approvals and contingencies.
  • 03
Review legally: Have counsel check binding language.
  • 04
Execute: Collect signatures and record execution dates.

Field Configuration
Signer Order Sequential or parallel based on internal approvals

Where to Send or File a Document of Intent

The destination depends on the transaction type; follow internal routing and any regulator or counterparty filing requirements.

  • Internal Approvals: Send to legal and finance for sign‑off before external distribution.
  • Counterparty: Email or eSign link to the designated representative for signature.
  • Regulatory Filings: If required, submit to the relevant agency per its procedures.
  • Recordkeeping: Store executed copy in your document management system.

Technical and Platform Considerations for eSigning

Ensure the chosen platform can produce an audit trail, support required compliance (for example HIPAA with a BAA), and export signed records for retention.

  • Integrations: Salesforce | NetSuite | Google Workspace compatibility
  • File formats: PDF | DOCX | HTML supported for upload
  • Authentication: Email, SMS, or advanced signer verification

Typical Timelines and Deadlines to Track

Document of Intent timelines vary by transaction; set explicit dates for key actions to avoid disputes.

Effective Date:

Date when preliminary obligations begin, often the signature date

Acceptance Deadline:

Explicit window for counterparty to sign or respond

Due Diligence Period:

Set a fixed number of days for inspections or reviews

Condition Cutoff:

Deadline for satisfying conditions precedent

Transition to Contract:

Target date for executing the final agreement

Common Preparation Errors to Avoid

  • Leaving binding and non‑binding language unclear, which creates enforceability disputes and negotiation delays.
  • Using vague time frames such as 'reasonable period' instead of specific dates or days to complete conditions.
  • Failing to identify who has signing authority, resulting in returned or rejected signatures and wasted effort.
  • Omitting required notices or confidentiality terms, exposing sensitive information during negotiations.

Key Risks and Consequences of an Incorrect Document of Intent

Unenforceability: May be challenged under ESIGN
Delay Costs: Missed deadlines harm transactions
Regulatory Exposure: Noncompliance risk in regulated industries
Financial Loss: Incorrect terms can create liability
Record Gaps: Lost audit trail weakens evidence
Tax Consequences: Poor documentation complicates reporting
