DOCUMENT PAGE TRANSFER FORM

This Document Page Transfer Form (the Agreement) is made effective as of Effective Date: between Transferor Name: (Transferor) and Transferee Name: (Transferee).

RECITALS

WHEREAS, Transferor is the custodian of certain documents and associated pages described herein, including electronic and physical pages identified by document title and identifiers; and

WHEREAS, Transferee requires the transfer, delivery, and acceptance of specific pages for the purposes set forth below and for the performance of Transferee’s business operations; and

WHEREAS, the parties desire to set forth the terms and conditions governing the transfer of such pages, the associated chain of custody, and payment for services rendered in connection with the transfer.

SCOPE OF WORK

Transferor shall prepare, segregate, and transfer the pages described in the Page Inventory below, and shall perform any mutually agreed processing services (for example, copying, scanning, Bates-stamping, or re-binding) as specified in this Scope of Work. Transferor will mark each transferred page with the identifier set forth in the Page Inventory and maintain a chain-of-custody log documenting each transfer event.

PAGE INVENTORY AND CHAIN OF CUSTODY

The following inventory identifies each group of pages to be transferred. Transferor shall verify counts and condition prior to transfer. Transferee shall inspect upon receipt and notify Transferor of any discrepancies within the inspection period set forth in this Agreement.

Inspection period: Transferee shall inspect delivered pages and notify Transferor in writing of any shortages, damage, or discrepancies within Inspection Period (days): days after receipt.

PAYMENT TERMS

As consideration for the services described herein, Transferee shall pay Transferor the fees set forth below in accordance with the payment schedule. All fees are exclusive of applicable taxes and costs associated with specialized processing unless otherwise stated.

Late fee: If any undisputed amount due hereunder is not paid within Late Fee Grace Period (days): days after invoiced due date, interest shall accrue at Late Fee Rate: or the maximum rate permitted by law, whichever is lower. Transferee shall also reimburse Transferor for reasonable collection costs and expenses incurred in collecting past-due amounts.

TERM AND TERMINATION

This Agreement commences on Start Date: and, unless earlier terminated in accordance with this Section, terminates on End Date: .

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least Notice Period (days): days prior to the effective termination date. Either party may terminate immediately for material breach if the breaching party fails to cure such breach within Cure Period (days): days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each party (Recipient) shall hold in strict confidence and shall not disclose to any third party any Confidential Information of the other party (Discloser). "Confidential Information" includes, without limitation, the content of transferred pages, chain-of-custody records, processing details, and any non-public business information. Confidential Information shall not include information that is or becomes publicly available through no wrongful act of Recipient, or information lawfully received from a third party without restriction. Recipient shall use Confidential Information solely for the purposes of performing its obligations under this Agreement and shall take reasonable measures to protect such information from unauthorized use or disclosure.

REPRESENTATIONS, WARRANTIES, AND INDEMNIFICATION

Transferor represents and warrants that it has the legal right to transfer the pages described herein, that the transferred pages do not infringe third-party rights, and that there are no liens or encumbrances that would prevent the specified transfer. Each party shall indemnify, defend, and hold harmless the other party from and against any claims, liabilities, losses, costs, or expenses arising from the indemnifying party’s breach of this Agreement, negligence, or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including any exhibits and the Page Inventory, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No amendment or modification of this Agreement will be binding unless in writing and signed by both parties.

CERTIFICATIONS AND ACKNOWLEDGMENTS

Transferor certifies that the information provided in the Page Inventory is accurate to the best of its knowledge and that all transferred pages are, where represented, original pages or true and accurate copies. Transferee acknowledges that acceptance of transferred pages constitutes acknowledgment of receipt and begins the Inspection Period.

NOTICES

All notices and communications required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, sent by certified mail (return receipt requested), or delivered by a nationally recognized courier service to the addresses set forth above or to such other address as either party may designate in writing.
