WHEREAS

WHEREAS, Client seeks to engage Service Provider to perform the professional services described in this Agreement, and Service Provider represents that it has the qualifications, experience, and ability to perform such services in accordance with the terms set forth herein.

WHEREAS, the parties desire to set forth the scope, compensation, term, confidentiality obligations, and other material terms necessary for the performance of the services and the protection of each party's legitimate interests.

SCOPE OF WORK

Service Provider shall perform the services described below (the Services). The Services shall be performed in a professional and workmanlike manner consistent with industry standards.

PAYMENT TERMS

Client shall pay Service Provider for the Services in accordance with the amounts and schedule below. All monetary amounts are in United States dollars unless otherwise noted.

If any undisputed payment is not received within days after the due date, Client shall pay late charges equal to on the outstanding balance, or the maximum lawful rate, whichever is less.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: , unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within days after receipt of written notice specifying the breach. Termination shall not relieve Client of the obligation to pay for Services rendered and costs incurred prior to the effective date of termination.

CONFIDENTIALITY

Each party (the Receiving Party) may be given access to confidential and proprietary information of the other party (the Disclosing Party). Confidential Information means non-public information disclosed in any form that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. The Receiving Party shall: (a) hold the Confidential Information in strict confidence; (b) use Confidential Information solely for performance under this Agreement; and (c) not disclose Confidential Information to any third party except to employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein.

The obligations of confidentiality will not apply to information that: (i) is or becomes public without breach of this Agreement by the Receiving Party; (ii) is rightfully received from a third party without restriction; (iii) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information; or (iv) is required to be disclosed by law or court order, provided the Receiving Party gives prompt notice to the Disclosing Party to seek protective measures.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any disputes arising under or in connection with this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, representations, and communications, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Neither party may assign or delegate its rights or obligations under this Agreement without the prior written consent of the other party, except that Service Provider may assign receivables. If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement will remain in full force and effect. The parties acknowledge that monetary damages may be inadequate to remedy a breach of the confidentiality obligations and that injunctive relief may be an appropriate remedy in addition to other available remedies.
