What the Document Review Share Agreement Is

A Document Review Share Agreement formalizes the terms under which one party shares documents with another for review, comment, or approval. It specifies which documents are shared, the purpose of the review, permitted recipients, access controls, confidentiality obligations, and the timeframe for review. The agreement clarifies responsibilities for handling, returning, or destroying copies, and it records the permitted uses and any retention or confidentiality requirements tied to those materials.

Why a Clear Review Share Agreement Matters

A well‑drafted Document Review Share Agreement reduces ambiguity about access and use, protects confidential information, and sets expectations for timing and responsibilities. It supports regulatory compliance and provides evidence of consent, access controls, and retention practices if disputes or audits arise.

Why a Clear Review Share Agreement Matters

Who Typically Creates and Signs This Agreement

Common users include corporate counsel, project managers, and third‑party reviewers who need controlled access to sensitive documents.

  • In‑house legal teams managing privileged information and review workflows across departments.
  • Procurement and vendor managers sharing drafts with bidders or suppliers under confidentiality limits.
  • Healthcare and research staff sharing patient or study records under HIPAA‑aligned controls.

The agreement is useful whenever documents are exchanged for review and confidentiality, access, or retention requirements must be defined.

Who Signs and Why

General Counsel

Company General Counsel negotiates terms and signs to ensure the agreement protects privileged communications, specifies permitted reviewers, and establishes retention and destruction obligations. Their signature typically binds the company to non disclosure and compliance steps required for regulatory audits.

Vendor Representative

A vendor or external reviewer signs to acknowledge receipt, permitted uses, and return or destruction obligations. Their signature confirms acceptance of access controls, audit logging, and any limitations on redistribution.

Core Elements to Include in the Agreement

A robust Document Review Share Agreement includes parties, document descriptions, access rights, confidentiality terms, permitted uses, and termination or destruction instructions to reduce legal and operational risk.

Parties

Identify each party by full legal name, corporate entity type, and primary contact information so obligations and enforcement are clear.

Document Description

Describe documents by title, version, date, or exhibit references to avoid ambiguity about which materials are covered.

Scope of Review

Define whether the recipient may comment, copy, annotate, share with sub‑recipients, or keep copies after review.

Access Controls

Specify technical controls (view only, watermarking, expiration, role restrictions) and authentication methods for access.

Confidentiality

State non‑disclosure obligations, permitted disclosures, and exceptions for legally compelled disclosures.

Term & Termination

Set review windows, post‑termination retention or destruction procedures, and remedies for breaches.

  • Record activity: Audit trail logs access, downloads, and signatures.

Set these workflow options to control access, authentication, and notification behavior when sharing documents for review.

Field Configuration

Ensure recipient devices, authentication methods, and supported file types match the workflow needs before sharing.

  • File formats: PDF, DOCX, XLSX supported
  • Integrations: Salesforce, NetSuite, Google Workspace
  • Authentication: Email, SMS, KBA options

Verify recipients can receive authentication codes and access the selected file format to avoid signing delays or failed deliveries.

HIPAA: BAA available for protected health information
Audit Trail: Detailed timestamps, IP, and actions

1099 late (Aug1+): $330 per form (IRC §6721)
Intentional disregard: $660+ per form (IRC §6721)
I‑9 violations: $281–$2,789 per violation (8 CFR §274a.2)

Common Mistakes When Preparing the Agreement

  • Leaving the document description vague, which creates uncertainty over which files are governed and can lead to disputes.
  • Failing to specify download or redistribution limits, allowing unintended copying and increased disclosure risk.
  • Using inconsistent party names or titles that differ from corporate records, complicating enforcement and signature attribution.
  • Neglecting to set an access expiration or retention rule, resulting in indefinite exposure and compliance issues.
