Confidentiality obligations shall survive termination or expiration of this Agreement for a period of years.

REPRESENTATIONS, WARRANTIES AND INDEMNIFICATION

Transferor represents and warrants that, to the best of its knowledge: (a) it has the authority to transfer the Documents; (b) the Documents are authentic as represented by Transferor; (c) transfer of the Documents will not violate any prior agreement or third-party right, except as disclosed in writing to Transferee. Transferor shall indemnify and hold Transferee harmless from any losses arising from breach of such representations.

EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE DOCUMENTS ARE TRANSFERRED "AS IS" AND TRANSFEROR MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, certified mail, or overnight courier, or by electronic delivery when accompanied by confirmation of receipt.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

ENTIRE AGREEMENT
