This Donation Agreement (the Agreement) is entered into on by and between:

RECITALS

WHEREAS, Donor desires to make a voluntary donation, either in cash or in-kind, to Recipient for the charitable, educational, or programmatic purposes described in this Agreement; and

WHEREAS, Recipient is an organization that accepts such donations and agrees to apply the donation in accordance with the terms set forth herein; and

WHEREAS, the parties desire to set forth their respective duties, representations and covenants regarding the donation and its use.

SCOPE OF USE

Recipient agrees to apply the donation exclusively for the following purpose(s) and in accordance with Recipient's standard policies for stewardship of donated funds or property:

Title to donated property, if any, shall pass to Recipient upon delivery and acceptance. Donor represents and warrants that Donor has good and marketable title to any property donated, free of liens and encumbrances, unless otherwise disclosed in writing to Recipient. Recipient's acceptance shall be conditioned on physical inspection and, if applicable, appraisal.

REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has the full right, power, and authority to enter into this Agreement and to perform its obligations hereunder. Donor further represents that the donation is not the subject of any legal restriction that would prevent its transfer to or use by Recipient as described.

CONFIDENTIALITY

Unless otherwise agreed in writing, the parties acknowledge that terms of this Agreement and any non-public information exchanged for the purposes of effecting the donation shall be kept confidential and shall not be disclosed to third parties except as required by law or as necessary to effect the donation. The obligations in this paragraph shall survive termination of this Agreement for years.

TERM AND TERMINATION

This Agreement commences on and continues until unless earlier terminated in accordance with this section. Either party may terminate this Agreement for convenience upon days' written notice to the other party. Recipient may terminate immediately upon written notice if Donor fails to deliver pledged funds or property in accordance with the Payment Terms, or if Donor breaches any representation or warranty.

TAX ACKNOWLEDGMENT

Recipient acknowledges receipt of the donation subject to the conditions herein and will, upon request and if applicable, provide a written acknowledgment of donation suitable for Donor's records. Donor acknowledges that receipt of an acknowledgment does not constitute tax advice; Donor is solely responsible for determining tax deductibility and for obtaining any required valuations or appraisals.

LIMITATION OF LIABILITY

Except for gross negligence or willful misconduct, neither party shall be liable to the other for incidental, consequential, or punitive damages arising out of or related to this Agreement. Recipient's liability for actual direct damages arising from a breach of its obligations under this Agreement shall not exceed the aggregate amount of the donation actually received by Recipient under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law.

ENTIRE AGREEMENT

This Agreement, including any attachments or written schedules signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and representations, whether written or oral. Any modification to this Agreement must be in writing and executed by both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate in writing. Notice shall be deemed given upon personal delivery, three days after deposit in the mail if sent by certified mail, or one day after deposit with a nationally recognized overnight courier.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and shall be construed so as to effectuate the intentions of the parties to the greatest extent permitted by law.
