Representations, Indemnity and Liability

Each party represents that it has the authority to enter into this Agreement. Donor shall indemnify and hold harmless Recipient from and against any claims, losses or liabilities arising out of Donor's breach of the representations and warranties contained in this Agreement, including any claims arising from inaccurate descriptions of title, liens, or material nonconformity not disclosed in writing at the time of transfer. Recipient's liability under this Agreement shall be limited to willful misconduct or gross negligence.

Notice and Communications

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses stated below (or to such other address as either party may designate in writing).

Governing Law; Amendment; Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof. This Agreement may be amended only by a written instrument signed by both parties. This Agreement shall be governed by and construed in accordance with the laws of the state indicated below.

Miscellaneous Provisions

If any provision of this Agreement is held unenforceable, the remaining provisions shall remain in full force and effect. Headings are for convenience only and do not affect interpretation.
