What the Drilling Project Agreement Is and when it applies

A Drilling Project Agreement is a written contract that defines the rights, obligations, and risk allocation between an owner or operator and a drilling contractor for a specific well or drilling program. It sets the scope of work, schedule, site and access terms, equipment and personnel responsibilities, safety and environmental requirements, insurance and bond obligations, payment and milestone schedules, change-order procedures, and dispute resolution. The agreement also typically identifies permits and regulatory compliance obligations and specifies which jurisdiction’s law governs interpretation and enforcement.

Why a clear Drilling Project Agreement matters

A well-drafted Drilling Project Agreement reduces operational disputes, clarifies cost and liability allocation, protects project timelines and regulatory compliance, and makes insurance and bonding straightforward. It creates an enforceable record of expectations and remedies for breaches.

Why a clear Drilling Project Agreement matters

Typical parties and stakeholders who use this agreement

The Drilling Project Agreement is used by owners, operators, contractors, and their legal and project management teams to document scope, cost, and risk allocation.

  • Owners and operators responsible for project financing, permitting, and compliance with environmental and safety obligations.
  • Drilling contractors and subcontractors who provide crews, rigs, equipment, and operational expertise on site.
  • Legal counsel, insurers, and sureties who verify contractual obligations, bonds, and insurance coverage prior to mobilization.

The document also guides project accountants, permitting specialists, and third-party inspectors who rely on contract terms to confirm compliance and payment milestones.

Core sections to include in a professional Drilling Project Agreement

A complete agreement groups operational, commercial, and compliance terms so parties can find responsibilities and remedies quickly without ambiguity.

Scope

Precise description of drilling operations, well location, target formation, deliverables, and excluded work to avoid scope creep or payment disputes.

Schedule

Mobilization, spud, expected drilling duration, milestone dates, and delay notice procedures with force majeure and excusable delay definitions.

Payment

Rates, daywork vs. turnkey pricing, milestone invoicing, retainage, currencies, and late payment interest calculation.

Insurance & Bonds

Minimum insurance limits, certificate requirements, performance and payment bond amounts, and how claims and subrogation are treated.

Health, Safety & Environment

Site-specific HSE obligations, incident reporting, remediation responsibilities, and regulatory permit compliance requirements.

Dispute Resolution

Governing law, jurisdiction, arbitration or courts, escalation steps, interim injunctive remedies, and limitation of liability caps.

Step-by-step: completing the Drilling Project Agreement

Follow a clear sequence to accelerate review and execution while preserving auditability.

  • 01
Draft core terms: Define scope, price, schedule, and insurance clearly.
  • 02
Attach exhibits: Add drilling plan, HSE plan, and equipment lists.
  • 03
Legal review: Have counsel verify indemnities, bonds, and regulatory compliance.
  • 04
Execution: Collect signatures and retain executed copies for project records.

How to configure the online workflow for this agreement

Set fields, signer order, and authentication before sending to ensure each party receives the correct view and obligations are captured.

Field Configuration
Template Create a reusable template that includes exhibits and required attachment fields.
Signer Order Set owner, contractor, then insurer or guarantor as required signers.
Authentication Require email plus SMS code or ID verification for key signers.
Attachments Require upload of certificates, bonds, and permits before final signature.

Distribution and technical requirements for e-signing and submission

Choose a platform that supports required authentication, preserves an audit trail, and exports signed PDFs with certificates.

  • File formats: PDF and DOCX supported for templates.
  • Integrations: Connectors with ERP, CRM, and cloud storage speed routing
  • Authentication: Email, SMS, or advanced ID verification available

Ensure the chosen system supports industry integrations such as Salesforce, NetSuite, Microsoft 365, Procore, or cloud storage to keep contract records synchronized with project systems.

Typical routing: from draft to executed contract

A predictable routing sequence helps track approvals and reduces rework.

  • Upload and map: Upload the agreement, place signature and attachment fields.
  • Add signers: Enter email addresses and set signing order.
  • Signer authentication: Signers authenticate and review required exhibits.
  • Complete and store: Signed copies and audit trail stored in project repository.

Common timelines and deadlines to track in the contract

Incorporate specific dates and clear notice deadlines so both parties understand mobilization and completion expectations.

Permit procurement deadline:

Deadline for securing necessary permits before mobilization.

Mobilization date:

Date by which rigs and crews must arrive on site.

Spud date:

Target date to commence drilling operations.

Completion date:

Projected date for well completion or scope completion.

Final invoice deadline:

Date by which contractor must submit final invoices and lien waivers.

Key project milestones from contract signature to handover

A numbered milestone sequence helps operations and finance teams coordinate mobilization, execution, and closeout.

01

Contract Execution

Parties sign the agreement and confirm insurance and bonds are in place.

02

Pre-mobilization

Permits obtained, materials procured, and HSE plan approved.

03

Drilling Operations

Active drilling, daily reporting, and change-order handling occur.

04

Handover and Closeout

Final reports, as-built documentation, and final payments are completed.

Common mistakes to avoid when preparing the agreement

  • Vague scope language that omits essential deliverables and allows disputes over included tasks or excluded work.
  • Missing or inconsistent party names that prevent issuance of performance bonds, insurance certificates, or cause payment holdbacks.
  • Unspecified change-order process or rate, resulting in contested additional work and delayed approvals.
  • Absent or low insurance and bonding limits that leave one party exposed to third-party claims and regulatory fines.

Consequences of errors or incomplete agreements

Contract Breach: Liability for damages or termination risk
Regulatory Fines: Penalties for noncompliance with permits
Liens: Unpaid subcontractor claims can result in mechanic’s liens
Environmental Liability: Cleanup costs and civil penalties
Delayed Payments: Cashflow disruption and interest accruals
Insurance Gaps: Denied claims or uncovered losses
