DRIVER SERVICE CONTRACT

This Driver Service Contract (the "Agreement") is entered into as of (the "Effective Date") by and between:

RECITALS

WHEREAS, the Service Provider is engaged in the business of providing professional driving and related transportation services and represents that the Service Provider maintains all required licenses, permits and insurance to perform such services; and

WHEREAS, the Client desires to engage the Service Provider to provide driver services for the Client on the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:

SCOPE OF WORK

PAYMENT TERMS

Compensation: The Client shall pay the Service Provider an amount of per for the services described above.

Late Payment: Any invoice not paid within days of the invoice date shall accrue a late fee equal to the greater of or per month until paid in full.

Reimbursements: Client will reimburse reasonable expenses (fuel, tolls, parking) incurred in the performance of services when supported by receipts submitted with the invoice.

TERM AND TERMINATION

Term: This Agreement shall commence on and continue until unless earlier terminated in accordance with this Agreement.

Termination for Convenience: Either party may terminate this Agreement upon providing written notice to the other party at least days prior to the effective date of termination.

Termination for Cause: Either party may terminate immediately for material breach by the other party that remains uncured for a period of ten (10) days following written notice specifying the breach. Termination shall not relieve Client of the obligation to pay for services performed through the effective date of termination.

CONFIDENTIALITY

Each party acknowledges that during the term of this Agreement it may receive Confidential Information. "Confidential Information" means non-public information disclosed in writing or orally that is identified as confidential. The receiving party shall: (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except as necessary to perform its obligations under this Agreement; and (c) use Confidential Information only for the purposes of performing obligations under this Agreement. The confidentiality obligations shall survive termination for a period of years.

INSURANCE, COMPLIANCE AND REPRESENTATIONS

Insurance: The Service Provider represents and warrants that it maintains automobile liability insurance and any required workers' compensation coverage with minimum limits adequate for the services provided and shall provide evidence of insurance upon Client request.

Compliance: The Service Provider shall at all times comply with applicable laws, licensing requirements, safety rules and Client's reasonable policies while performing services. The Service Provider shall maintain a valid driver's license and be responsible for any fines or penalties arising from its conduct.

Independent Contractor: The Service Provider is an independent contractor. Nothing in this Agreement creates an employment relationship, joint venture, agency, or partnership.

LIABILITY AND INDEMNIFICATION

Indemnification: Each party shall indemnify, defend and hold harmless the other party from and against claims, liabilities, damages and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's negligence, willful misconduct, or breach of this Agreement.

Limitation of Liability: Except for liability arising from willful misconduct or gross negligence, neither party shall be liable to the other for special, incidental, indirect or consequential damages, and the aggregate liability of either party shall not exceed the total compensation paid to Service Provider under this Agreement in the six (6) months preceding the event giving rise to liability.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement contains the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification of this Agreement must be in writing and signed by both parties.
