DUAL REPRESENTATION AGREEMENT

This Dual Representation Agreement (the Agreement) is entered into effective as of by and between the undersigned parties for the limited matter described below.

Parties

Recitals

WHEREAS, Attorney is engaged in the practice of law and is willing to provide legal services in connection with the matter described below; and

WHEREAS, Client One and Client Two (collectively, the Clients) each desire representation by Attorney in the same matter and understand that certain duties and interests of the Clients may be aligned or opposed as the matter proceeds; and

WHEREAS, the Clients have been informed of the potential risks of dual representation, including limitation on confidentiality between the Clients and the possibility that Attorney may be required to withdraw if a material conflict arises that cannot be cured by informed consent.

Matter

The subject matter for which Attorney will provide representation (the Matter) is:

Scope of Work

Attorney will provide legal services reasonably necessary to represent the Clients in the Matter including, but not limited to, legal advice, negotiation, document preparation, and court representation as mutually agreed. The Scope may be limited by written agreement of the parties below.

Conflicts, Disclosure and Consent

Attorney has disclosed to each Client all known material facts that might reasonably be expected to affect Attorney's representation. The Clients acknowledge that they have been informed of the potential for differing interests between them, the possibility of limited confidentiality among them with respect to information relevant to the Matter, and the potential need for Attorney to withdraw if an irreconcilable conflict arises.

By checking the box below, the Clients jointly and voluntarily consent to dual representation by Attorney in the Matter and waive any future disqualification that may arise solely from this joint representation, except as set forth in this Agreement.

Payment Terms

Clients agree to compensate Attorney as follows. The Clients understand that fees and costs are the responsibility of the Clients as joint clients. Where allocation between Clients is relevant, the parties will specify the allocation below.

Term and Termination

This Agreement commences on and will continue until the completion of the Matter or until terminated in accordance with this section.

Termination by any party requires written notice to the other party and to Attorney. The required notice period is days.

The Clients understand that communications to Attorney are generally privileged. Because Attorney represents both Clients jointly, information disclosed by one Client may be shared with the other to the extent necessary for joint representation. Each Client expressly waives any claim that information shared between the Clients in the course of representation is protected from disclosure to the other Client. Attorney will take reasonable measures to maintain confidentiality of information received from third parties or non-client sources and will not disclose privileged communications to third parties without joint written consent, except as required by law or court order.

Limitation of Liability

Attorney's liability for any claim arising from this Agreement or the representation is limited to proven direct damages and excludes consequential, incidental, special, punitive, or exemplary damages to the fullest extent permitted by law. Nothing in this Section shall limit liability for intentional misconduct or willful breach.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles.

Entire Agreement

This Agreement, together with any attached engagement letter or fee agreement expressly incorporated herein, constitutes the entire understanding between the parties concerning dual representation in the Matter and supersedes all prior discussions, negotiations and agreements, whether oral or written. Any amendment must be in writing and signed by all parties.

Additional Provisions

Each party represents that the individual signing on its behalf is authorized to enter into this Agreement. The Clients certify that they have had the opportunity to consult independent counsel concerning this dual representation and that they enter into this Agreement knowingly and voluntarily.

What a Dual Representation Agreement Is and when it applies

A Dual Representation Agreement documents informed consent when one professional represents two parties in the same matter or transaction. It defines the scope of duties, limits of advocacy, and how conflicts will be handled. Common in real estate and some transactional legal matters, the agreement records that both parties know the risks of shared representation and agree to proceed under disclosed terms.

Why you use a Dual Representation Agreement

The agreement creates transparent, written consent that allocates duties and limits liability. It reduces later disputes about conflicting interests, clarifies communications and confidentiality, and documents the parties’ acceptance of shared representation for evidentiary and regulatory clarity.

Why you use a Dual Representation Agreement

Who typically completes a Dual Representation Agreement

Professionals and organizations use this agreement when a single agent or attorney will act for more than one client in the same matter.

  • Real estate brokers and agents who may represent buyer and seller in the same transaction.
  • Attorneys providing limited or joint transactional advice to two related parties.
  • Lenders, brokers, or financial advisors involved in a transaction requiring disclosed shared representation.

Use this form only after conflict checks, clear disclosures, and obtaining written consent from all affected parties.

Essential parts of a professional Dual Representation Agreement

A well-drafted agreement explicitly states parties, scope, duties, limits, disclosures, and signatures. Each section should be short, unambiguous, and tailored to the transaction type to ensure enforceability and informed consent.

Parties

Identify each client by full legal name and role (buyer, seller, borrower, lender) and include entity type when applicable to avoid identity ambiguity.

Scope of Representation

Describe exactly which matters or documents the professional will handle, and list any tasks expressly excluded to prevent scope creep.

Duties and Limitations

State duties owed to both clients and clarify that the professional cannot provide exclusive advocacy if interests diverge without renewed consent.

Disclosure and Consent

Include plain-language disclosures about potential conflicts and a clear, dated consent statement from each party acknowledging understanding.

Compensation and Fees

Specify fee arrangement, billing responsibility, and whether any fee-splitting occurs; address refunds and dispute resolution.

Conflict Resolution

Outline steps if a conflict arises (withdrawal, appointment of separate counsel, mediation), and any post-termination obligations for confidentiality.

Quick sequential steps to complete and finalize the agreement

Follow these steps to prepare, execute, and record the Dual Representation Agreement correctly.

Run conflict check: Confirm no disqualifying conflict exists before drafting.

Field Configuration
Authentication Email link with optional SMS code for added identity assurance
Conditional Fields Show conflict-resolution clauses only when a checkbox indicates potential divergence
Notifications Enable signer and sender notifications on view, sign, and completion
Audit Trail Capture IP, timestamp, and event log for each signer

Digital signing and technical requirements

Use a secure eSignature platform that supports PDF or DOCX, audit trails, and appropriate authentication methods.

  • File formats: PDF, DOCX supported
  • Integrations: Salesforce, NetSuite, Google Workspace
  • Compliance: ESIGN, UETA, HIPAA (BAA as required)

Ensure the chosen platform preserves tamper-evident records, stores signed copies securely, and allows export in standard formats for long-term retention.

  • Using vague scope language that leaves duties and exclusions undefined and invites later disputes.

  • Neglecting to record or retain the signed agreement and audit trail, weakening evidence of disclosure and consent.

Principal risks and potential professional consequences

Ethics sanction: Disciplinary action possible
Malpractice claim: Exposure to liability
Consent challenge: Consent may be invalidated
Client fallout: Loss of trust and business
