What the Due Diligence Assessment Form Is

A Due Diligence Assessment Form is a structured questionnaire used to collect factual, legal, financial, operational, and compliance information from a counterparty, vendor, target company, or internal business unit. It centralizes responses about corporate structure, material contracts, regulatory status, risk exposures, data handling practices, and required supporting documents. Organizations use the form to identify red flags, verify representations, and document the basis for commercial or regulatory decisions. Completed forms become part of the legal record supporting transactional approvals and risk remediation plans.

Why a Formal Due Diligence Form Matters

Using a standardized Due Diligence Assessment Form improves consistency, reduces missing information, and creates an auditable record for legal and compliance teams.

Why a Formal Due Diligence Form Matters

Who Typically Completes and Reviews These Forms

Different teams fill, review, and rely on due diligence forms depending on transaction type and organizational structure.

  • Legal teams and outside counsel: review contract clauses, representations, indemnities, and regulatory exposures for enforceability and risk allocation.
  • Compliance and security teams: evaluate data handling, privacy programs, and HIPAA/FERPA applicability where regulated data is present.
  • Mergers & acquisitions or procurement teams: score business, financial, and operational risks to inform pricing, conditions, and integration planning.

Responses should be routed to designated approvers and retained with supporting exhibits to preserve an audit trail.

Core Sections to Include in a Professional Form

A complete Due Diligence Assessment Form organizes information into predictable sections so reviewers can compare responses across targets and vendors efficiently.

Identification

Legal entity name, DBA, jurisdiction of formation, and primary contact details for verification and service of process.

Ownership & Structure

List of parent companies, subsidiaries, ownership percentages, and any related-party arrangements that affect control or liability.

Contracts & Liabilities

Material agreements, indemnities, pending claims, and outstanding obligations that could affect valuation or compliance.

Regulatory Status

Licenses, registrations, enforcement actions, or regulatory approvals relevant to the industry or transaction.

Data & Security

Data types processed, privacy policies, security controls, breach history, and whether a HIPAA BAA is required.

Supporting Documents

Requested exhibits such as organizational charts, sample contracts, insurance certificates, financial statements, and compliance policies.

Step-by-Step: Completing a Due Diligence Assessment Form

Follow a clear sequence to gather responses, verify documents, and obtain required approvals before finalizing the assessment.

  • 01
Prepare request: Identify required sections and supporting exhibits.
  • 02
Send form: Distribute via secure portal or eSignature platform.
  • 03
Review answers: Legal and compliance teams validate statements and documents.
  • 04
Approve and archive: Obtain authorized signature and file with the transaction record.

Configuring an Online Workflow for the Form

Set up a reusable template and routing rules to accelerate collection and preserve an audit trail for each submission.

Authentication Email link | Optional SMS or KBA for higher assurance
Signature Type Signature | Allow standard eSignature or PKI-based digital signatures
Template Template | Save as reusable form with required fields
Notifications Alerts | Auto-notify reviewers and approvers on completion

Technical Requirements for eSubmission and Storage

Choose a platform that supports the file formats, integrations, and authentication methods your workflow requires.

  • File formats: PDF, DOCX, and scanned images supported for attachments
  • Integrations: CRM and document storage connections such as Salesforce and Google Workspace
  • Authentication: Email, SMS codes, SSO, and advanced signer verification options

Confirm the vendor provides an immutable audit trail, secure storage, and any industry-specific compliance addenda you need.

Where to Send Completed Forms and Supporting Materials

Use a clear routing plan that specifies repositories, reviewers, and external recipients for signed forms and exhibits.

  • Internal Repository: Upload final PDF to the records management system or contract repository.
  • Vendor Portal: Attach exhibits and signed form to the vendor or target company's secure portal.
  • Legal Counsel: Provide copies to in-house or outside counsel for transactional review.
  • Regulatory Filing: Submit required documents to regulators when a filing obligation exists.

Typical Timelines and Processing Expectations

Establish clear response windows and internal review deadlines to avoid delays in transactions or vendor onboarding.

Request Issued:

Day 0: form and exhibit list delivered to respondent

Response Window:

7–14 calendar days for initial responses depending on complexity

Review Period:

3–10 business days for legal and compliance review

Follow-up Requests:

Allow 3–7 days per follow-up for supplemental documents

Final Approval:

Approval or escalation within 5 business days of final submission

Key Milestones from Request to Closure

A milestone timeline clarifies responsibilities at each stage, helping teams allocate resources and meet contractual deadlines.

01

Document Request

Send form and exhibit checklist to respondent for completion.

02

Document Collection

Gather responses, contracts, and certificates into a single submission.

03

Due Diligence Review

Legal, finance, and security teams assess and document findings.

04

Approval & Archival

Common Pitfalls to Avoid

  • Incomplete exhibits: omitting key contracts or certificates increases follow-up cycles and prolongs closing timelines.
  • Ambiguous answers: vague responses force legal teams to seek clarifications that delay approvals and increase transaction costs.
  • Mismatched signatories: signatures by unauthorized persons can render the form legally ineffective for contractual reliance.
  • Poor version control: accepting multiple edited copies without reconciliation creates audit and enforceability issues.

Risks and Consequences of Inaccurate or Incomplete Forms

Contract Risk: Enforceability disputes and indemnity exposure
Regulatory Fines: Possible penalties for noncompliance in regulated industries
Financial Loss: Valuation adjustments or undisclosed liabilities
Operational Delay: Deal or onboarding postponements
Reputational Harm: Stakeholder confidence and partner relationships impacted
Data Exposure: Inadequate controls can increase breach risk
