What the Due Diligence Questionnaire Is

A Due Diligence Questionnaire is a structured set of questions and data fields used to collect consistent information about an organization, transaction, vendor, or counterparty before a commercial decision. It documents corporate details, financial history, compliance posture, contracts, insurance, litigation, and material risks so reviewers can assess suitability and exposure. The questionnaire is typically used by legal, compliance, procurement, investment, and M&A teams to create a written record that supports informed approvals, risk ratings, and subsequent negotiations.

Why a Standard Questionnaire Matters

A standard Due Diligence Questionnaire ensures consistent data collection, reduces follow-up queries, and creates an auditable record of pre-deal reviews. It speeds decision making and clarifies obligations across teams while protecting organizations from undisclosed risks.

Why a Standard Questionnaire Matters

Who Typically Completes and Reviews These Questionnaires

Different teams fill or review a Due Diligence Questionnaire depending on the context and the risk areas being assessed.

  • Procurement and Sourcing teams — Use answers to verify vendor capabilities, insurance, and contractual terms before onboarding.
  • Legal and Compliance teams — Review disclosures, litigation history, regulatory licenses, and controls for contract risk assessment.
  • Finance and Investor teams — Evaluate audited statements, revenue recognition, tax status, and material liabilities for financial viability.

Understanding the typical participants helps route the form to the right approvers and validate responses before final sign-off.

Core Sections to Include in a Professional Questionnaire

A comprehensive form groups related topics so reviewers can assess risk quickly. Organize the questionnaire into clear sections with instructions and supporting-document checklists.

Entity Details

Legal name, DBA, jurisdiction of formation, EIN and business addresses; include subsidiaries and ultimate beneficial ownership to establish legal identity and tax status.

Financials

Latest audited or reviewed financial statements, revenue breakdowns, debt schedules, and any off-balance-sheet items to evaluate liquidity and solvency.

Compliance

Licenses, permits, regulatory filings, AML/KYC processes, sanctions screening, and privacy controls to assess regulatory exposure and controls.

Contracts & IP

Material contracts, IP ownership or licenses, key third-party agreements, and any restrictive covenants that could affect operations or transferability.

Insurance & Claims

Current policies, limits, exclusions, recent claims history, and claims reserves to quantify transfer and retention of liability risk.

Litigation & Risk

Pending or threatened litigation, regulatory investigations, environmental liabilities, or other contingent liabilities that may materially affect valuation or operations.

Step-by-Step: Filling and Submitting the Questionnaire

Follow a consistent sequence: prepare, complete, validate, sign, and distribute. This reduces rework and creates an auditable trail.

  • 01
Prepare Documents: Gather financials, policies, and contracts before you start to complete fields accurately.
  • 02
Complete Fields: Enter required data and answer narrative questions with clear, concise facts.
  • 03
Validate Responses: Have legal or compliance review answers for accuracy and completeness.
  • 04
Sign and Route: Collect signatures in the correct order and distribute final copies to stakeholders.

Configuring a Digital Review Workflow

Map reviewers and approval order before sending. Configure conditional fields and reminders to streamline processing.

Field Configuration
Approval Order Sequential or parallel routing based on role
Authentication Email, SMS code, or KBA as required
Conditional Fields Show or hide follow-up questions based on answers
Reminders Automatic reminder cadence and escalation

Typical eSubmission Flow for the Questionnaire

Electronic submission follows a predictable path from sender to signer with audit trail capture at each step.

  • Upload Document: Sender uploads questionnaire and attachments.
  • Place Fields: Add text, checkbox, initial, and signature fields.
  • Invite Signers: Send by email or generate a secure signing link.
  • Capture Audit Trail: System logs timestamps, IPs, and actions for recordkeeping.

Technical and Compliance Considerations for eSubmission

Ensure the chosen platform supports the required authentication, retention, and privacy controls for your industry and jurisdiction.

  • Authentication: Email, SMS, KBA, or SSO options
  • Encryption: TLS 1.2/1.3 in transit; AES-256 at rest
  • Integrations: CRM, ERP, cloud storage connectivity

Essential Data Points to Collect

Legal Name: Exact registered name
Tax ID: EIN or SSN when required
Contact Details: Phone and corporate email
Insurance Info: Carrier and policy limits
Licenses: Regulatory license numbers
Attachments: PDFs of evidence

Common Preparation Pitfalls to Avoid

  • Incomplete financial attachments that force repeated follow-ups and delay approval cycles by days or weeks.
  • Using inconsistent entity names across fields, which causes verification failures and onboarding rejection.
  • Skipping required signatures or using initials where full signatures are specified, causing acceptance issues.
  • Failing to redact sensitive data in shared attachments, creating unnecessary privacy and compliance risk.

Key Risks and Consequences of Incorrect Responses

Tax Penalties: $60–$660+ per form
Contract Risk: Undisclosed liabilities may lead to indemnity claims
Regulatory Fines: Enforcement actions for noncompliance
Onboarding Delays: Missing information halts approvals
Data Exposure: Unredacted PII increases breach risk
Reputational Harm: Public disclosure of issues

Time-Sensitive Deadlines to Track

Certain tax and regulatory dates affect documents you may attach or report; track these deadlines to avoid penalties or late filings.

W-9 Provision:

No fixed deadline; provide upon payer request

1099-NEC Reporting:

Recipient and IRS by Jan 31 each year

1099-MISC Filing:

Individual Tax Return:
