What the Earnest Money Deposit Note Is

An Earnest Money Deposit Note documents receipt of a buyer's earnest money payment and records the conditions under which those funds will be held, released, or applied to the purchase price. It typically accompanies a real estate purchase agreement and may function as a conditional promissory or receipt-style note clarifying remedies, return conditions, and application at closing. The note identifies payer, payee, deposit amount, account or escrow holder, deadlines tied to contingencies, and dispute resolution terms so all parties have a clear, enforceable record of the deposit's status.

Why the Note Matters for Transactions

A clear Earnest Money Deposit Note reduces disputes by specifying how funds are handled if contingencies fail, who controls the escrow, and what triggers refund or forfeiture. It preserves parties' expectations and supports enforcement if litigation or title issues arise.

Why the Note Matters for Transactions

Who Typically Prepares and Signs This Note

Real estate agents, buyer and seller attorneys, title companies, and escrow agents commonly prepare or review earnest money notes before closing.

  • Buyers and sellers — to document payment terms and refund conditions in writing.
  • Escrow or title companies — to acknowledge receipt and set release instructions.
  • Real estate brokers/agents — to coordinate deposits and confirm contract compliance.

Parties should involve counsel for unusual terms; standard forms are often modified to reflect state law, contingency deadlines, and escrow arrangements.

Core Elements to Include in a Professional Note

A complete Earnest Money Deposit Note explicitly links the deposit to the purchase agreement, identifies the escrow holder, and sets precise dates and conditions for release or forfeiture.

Parties

Full legal names for buyer, seller, and escrow holder; include entity type for companies and signatory authority to avoid later disputes or identity mismatches.

Deposit Amount

Exact dollar amount written numerically and in words, plus currency, source of funds, and account identifier if held in a specific escrow or trust account.

Escrow Instructions

Name the escrow agent, contact details, account number or trust reference, and describe how funds will be segregated and accessed until closing or termination.

Release Conditions

Enumerate contingencies (financing, inspection, title cure), deadlines, and the exact events that trigger refund, application to purchase price, or forfeiture.

Remedies

State whether deposit is liquidated damages, subject to refund, or conditional; include dispute resolution, attorneys' fees, and jurisdiction clauses.

Signatures

Signature blocks for all parties with printed names, titles, dates, and acknowledgment of receipt; indicate whether electronic signatures are acceptable.

Step-by-Step: Filling Out the Note

Follow this sequence to complete the Earnest Money Deposit Note and reduce rework or rejection.

  • 01
Gather contracts: Collect the purchase agreement and escrow instructions first.
  • 02
Enter parties: Complete buyer, seller, and escrow agent fields exactly.
  • 03
Record amount: Fill numeric and written-amount fields without abbreviations.
  • 04
Sign and date: All signing parties date the note at execution.

Typical Funds Flow and Routing

This simplified flow shows how earnest money is delivered, held, and applied during a typical residential purchase.

  • Payment: Buyer delivers funds to escrow or title company.
  • Acknowledgment: Escrow issues written receipt or deposit note.
  • Hold: Funds are held per contract contingencies and deadlines.
  • Application: At closing, funds apply to purchase or are refunded as directed.

Digital Workflow Settings To Configure

Configure these settings when you prepare the note for electronic routing and signing to ensure predictable handling.

Field Configuration
Signature Order Set sequential or parallel signing per transaction needs
Authentication Choose email link, SMS code, or KBA for signer verification
Escrow Attachment Attach escrow receipt or account reference as supporting file
Retention Enable secure storage and audit trail for the signed record

Technical Considerations for eSubmission

Verify your eSignature provider supports audit trails, secure storage, and the authentication level needed for your transaction.

  • Document formats: PDF, DOCX supported
  • Integrations: Title systems, CRMs, and cloud storage
  • Security: TLS and AES-256 encryption

Confirm the provider can produce a certificate of completion and accommodates notarization or RON workflows if your state or transaction requires them.

Common Deadlines and Timing Expectations

Track contingency and funding deadlines explicitly in the note so escrow holds and releases occur on schedule.

Deposit Due Date:

Typically due upon contract execution or within 48–72 hours

Contingency Deadlines:

Tied to inspection, financing, or title cure dates in the purchase agreement

Clearance Period:

Allow bank clearance time (3–10 business days) for large transfers

Release Window:

Specify notice period for refund or forfeiture after contingency expiration

Closing Date:

Funds generally apply at closing; note adjusts for postponed closings

Primary Consequences of an Incorrect or Missing Note

Forfeiture Risk: Buyer may lose deposit
Delayed Closing: Title or funding may be postponed
Litigation Exposure: Disputes over release or damages
Escrow Misapplied: Funds applied incorrectly
Administrative Fines: State penalties for improper escrow handling
Tax Consequences: Reporting issues if funds treated as income

Frequent Preparation Mistakes to Avoid

  • Leaving contingency deadlines vague or open-ended, which creates ambiguity about when refunds or forfeiture occur and increases dispute risk.
  • Failing to name the escrow account or include escrow company contact information, causing misrouting or delayed access to funds at closing.
  • Using inconsistent party names between the purchase agreement and the note, which can invalidate acknowledgments and require corrective affidavits.
  • Not documenting who may authorize disbursement from escrow, increasing the chance of unauthorized releases or clerk-level errors.

Practical Tips for Accurate and Efficient Completion

Adopt consistent templates and verification steps to streamline preparation and reduce disputes.

Use a single authoritative template
Standardize on a vetted note template reviewed by counsel to ensure consistent language, reduce negotiation time, and simplify integration with escrow and title systems.
Capture signer identity robustly
Require signer authentication that matches transaction risk—email plus SMS code or knowledge-based verification—and record IP and timestamps for auditability.
Attach supporting documents
Include a copy of the purchase agreement, escrow receipt, and any authority documents so the note is self-contained for title review and later audits.
Confirm state requirements early
Check notarization, witness, or RON acceptance before execution to avoid re-signing; incorporate jurisdiction language consistent with governing law provisions.
