What an Ecommerce Sales Agreement Covers

An Ecommerce Sales Agreement is a written contract that sets the terms for selling goods or services online between a seller and a buyer. It typically defines the parties, description of goods or services, pricing, payment terms, delivery and shipping responsibilities, returns and refunds, warranties, tax treatment, and dispute resolution. For online merchants, the agreement clarifies responsibilities for order acceptance, fulfillment timelines, and data handling for customer information, and it can be structured for single transactions, recurring purchases, or marketplace listings.

Why a Clear Agreement Matters for Online Sales

A written Ecommerce Sales Agreement reduces ambiguity about pricing, delivery, and liability, protecting both parties and simplifying dispute resolution. It supports consistent customer communications, aligns expectations for returns and warranties, and documents tax and regulatory responsibilities.

Why a Clear Agreement Matters for Online Sales

Who Typically Prepares and Signs These Agreements

Sellers, payment processors, marketplaces, and buyers all interact with Ecommerce Sales Agreements; responsibilities differ by role.

  • Small business owners and sole proprietors preparing standard sales terms for their online store.
  • Marketplace operators and platform vendors that require standardized seller terms and payments handling.
  • In-house legal or operations teams at mid-market and enterprise merchants drafting negotiated purchase provisions.

The agreement should be matched to the business model (direct-to-consumer, B2B, marketplace) and reviewed by the person or team authorized to accept legal terms on behalf of the seller.

Typical Signatories and Their Roles

Owner / CEO

An owner or chief executive signs on behalf of a small or single-owner ecommerce business. They accept obligations for payments, shipping, returns, and warranties, and have authority to bind the company in sales contracts.

Authorized Agent

For larger companies, a named officer or delegated agent (VP Sales, Head of Operations) signs. That signer must have documented authority in corporate records or by written delegation to avoid disputes about capacity.

Core Sections to Include in an Ecommerce Sales Agreement

A comprehensive ecommerce agreement organizes obligations and risk with clear, contract-ready clauses. Include the following sections to reduce ambiguity and support enforceability.

Parties

Clearly identify legal names, entity types, and contact addresses for buyer and seller.

Goods and Services

Describe products, SKUs, service scope, and acceptance criteria so the deliverable is verifiable.

Price and Payment

State currency, taxes, payment methods, due dates (e.g., Net 30), and late fee consequences.

Delivery and Risk

Set shipping terms (Incoterms or equivalent), delivery windows, and when title/risk transfer to buyer.

Returns & Warranties

Define return windows, restocking fees, warranty duration, and repair or replacement obligations.

Dispute Resolution

Specify governing law, venue, and whether arbitration or court litigation applies.

Choose platform settings that match your security and audit requirements, enable audit trails, and retain signed copies in your business systems for compliance.

Typical Digital Signing Flow for a Sales Agreement

A standard e-signing flow reduces delays and captures an audit trail for each action taken on the agreement.

  • Place Fields: Add signature, date, and initial fields where required.
  • Send to Signer: Platform sends email or link to the buyer for signature.

Common Mistakes to Avoid When Preparing the Agreement

  • Unclear payment terms that omit due date or currency create collection problems and disputes.
  • Vague product descriptions that lack SKU or model numbers lead to return and acceptance disagreements.
  • Failing to obtain authorized signatures or documenting signer capacity can render the agreement unenforceable.
  • Not including return or warranty procedures increases customer service costs and chargeback risk.

Consequences of Errors or Missing Terms

Enforceability Risk: Missing signatures
Tax Exposure: Incorrect reporting
Chargebacks: Higher refund disputes
Regulatory Fines: Privacy or consumer law
Civil Liability: Breach of contract claims
Operational Delay: Fulfillment interruptions

Require Clear Signer Authentication
Use email plus optional SMS or knowledge-based verification for higher-value transactions to strengthen attribution and reduce repudiation risk.
Include ESIGN Disclosures
For consumer-facing transactions provide the ESIGN consumer disclosure and obtain consent as required by 15 U.S.C. §7001(c) to ensure electronic records are enforceable.
Automate Storage
Save signed PDFs and audit trails automatically to your document management system to meet retention schedules and simplify audits.
