EDITOR SERVICES CONTRACT

This Editor Services Contract ("Agreement") is made effective as of , by and between Client Name: , Individual Entity; principal place of business or residence at ; and Editor Name: , Individual Entity; principal place of business or residence at .

RECITALS

WHEREAS, Client desires to retain Editor to provide editorial services including copyediting, substantive editing, proofreading and related editorial tasks in connection with Client's written materials; and

WHEREAS, Editor represents that Editor has the skill, experience and expertise to provide the editorial services described in this Agreement and is willing to provide such services on the terms and conditions set forth herein; and

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to the editorial services and deliverables to be provided by Editor to Client.

NOW THEREFORE, in consideration of the mutual covenants and agreements contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. SCOPE OF SERVICES

1.1 Services. Editor shall provide editorial services as described in the Scope of Work. Services may include substantive editing, line editing, copyediting, proofreading, fact-checking and formatting as specified by Client. The parties acknowledge that the scope of services and specific deliverables may vary by project.

2. TERM

2.1 Term. The term of this Agreement shall commence on , and shall continue until , unless earlier terminated in accordance with Section 12.

3. COMPENSATION AND PAYMENT

3.1 Fees. Client shall pay Editor the fees set forth in this Section and any attached statement of work. Fees may be calculated on a per-project, per-word, per-hour, or flat-fee basis as agreed in writing.

3.2 Invoicing and Payment Terms. Editor shall invoice Client in accordance with the payment schedule. Unless otherwise agreed in writing, Client shall pay invoices within days of receipt. Late payments shall accrue interest at the lesser of 1.5% per month or the maximum permitted by law.

4. DELIVERABLES AND TURNAROUND

4.1 Delivery. Editor will provide deliverables in the format and by the dates set forth in the Scope of Work or as otherwise agreed in writing. Turnaround times are estimates and subject to change upon mutual agreement.

5. REVISIONS

5.1 Revision Rounds. Client is entitled to rounds of revision as specified in the Scope of Work. Additional revision rounds will be billed at Editor's then-applicable hourly or per-word rate.

6. CONFIDENTIALITY

6.1 Confidential Information. During and after the term of this Agreement, Editor shall hold in confidence and not disclose to any third party any non-public information furnished by Client that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including unpublished manuscripts, drafts, research and editorial notes ("Confidential Information").

6.2 Exceptions. Confidential Information does not include information that: (a) is or becomes generally known to the public other than by a breach of this Agreement; (b) was rightfully in Editor's possession prior to disclosure by Client; (c) is rightfully received by Editor from a third party without restriction; or (d) is independently developed by Editor without use of Confidential Information.

Editor may list the project in portfolio materials if Client grants prior written consent.

7. INTELLECTUAL PROPERTY

7.1 Ownership of Deliverables. Subject to payment in full for the Services, Editor assigns to Client all right, title and interest in and to the deliverables created by Editor specifically for Client under this Agreement, including copyrights, subject to the limited license and retained rights set forth in this Section.

7.2 Pre-existing Materials. Editor shall retain all right, title and interest in any pre-existing materials, tools, know-how or methodologies used by Editor in connection with the Services ("Pre-existing Materials"). Editor grants Client a non-exclusive, perpetual, worldwide license to the extent necessary for Client to use the deliverables, but Editor does not transfer ownership of Pre-existing Materials except as expressly agreed in writing.

To the extent permitted by law, Editor irrevocably waives any moral rights in the deliverables and agrees not to assert such rights against Client.

8. REPRESENTATIONS AND WARRANTIES

8.1 By Editor. Editor represents and warrants that (a) Editor has the full right and authority to enter into this Agreement; (b) the Services will be performed in a professional and workmanlike manner consistent with industry standards; and (c) the deliverables will not knowingly infringe the intellectual property rights of any third party.

8.2 By Client. Client represents and warrants that Client has the right to provide materials and grant the rights necessary for Editor to perform under this Agreement and that such materials do not violate the rights of any third party.

9. INDEPENDENT CONTRACTOR

9.1 Relationship. Editor is an independent contractor and not an employee, agent or partner of Client. Editor shall be solely responsible for all taxes, withholdings, and other statutory obligations of an independent contractor.

10. INDEMNIFICATION

10.1 Indemnification by Client. Client shall indemnify, defend and hold harmless Editor from and against any claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of Client's materials, Client's breach of this Agreement, or Client's use of the deliverables.

10.2 Indemnification by Editor. Editor shall indemnify, defend and hold harmless Client from and against claims that the deliverables, as delivered and used within the scope of this Agreement, infringe a third party's copyright, provided that Client gives Editor prompt notice and reasonable cooperation in the defense.

11. LIMITATION OF LIABILITY

11.1 Except for liability arising from a party's breach of confidentiality or willful misconduct, in no event shall either party be liable to the other for incidental, consequential, special or punitive damages. Editor's aggregate liability for any claim arising out of or relating to this Agreement shall not exceed the fees paid to Editor under this Agreement for the specific Services giving rise to the claim.

12. TERMINATION

12.1 Termination for Cause. Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach.

12.2 Termination for Convenience. Either party may terminate this Agreement for convenience upon days' written notice to the other. Upon termination, Client shall pay Editor for all Services performed and expenses incurred through the date of termination.

13. NOTICES

13.1 Method. All notices, requests, consents, claims, demands, waivers and other communications hereunder shall be in writing and addressed to the parties at the addresses set forth below or to such other address as may be designated in writing by a party in accordance with this Section.

14. AMENDMENT; WAIVER

14.1 Amendment. No amendment to this Agreement will be effective unless it is in writing and signed by both parties.

14.2 Waiver. No failure or delay by either party in exercising any right under this Agreement shall operate as a waiver of that right, nor shall any single or partial exercise preclude any other exercise of that right.

15. GOVERNING LAW; VENUE

15.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws rules.

15.2 Venue. The parties submit to the exclusive jurisdiction of the state and federal courts located in the county and state identified above for purposes of any action arising out of this Agreement.

16. ENTIRE AGREEMENT; SEVERABILITY

16.1 Entire Agreement. This Agreement, together with any attached statements of work or exhibits, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written.

16.2 Severability. If any provision of this Agreement is held to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect and the parties shall negotiate in good faith to replace the invalid provision with a valid provision that achieves, to the extent possible, the original business purpose.

17. COUNTERPARTS; ELECTRONIC SIGNATURES

17.1 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

17.2 Electronic Signatures. Signatures transmitted electronically (including by scanned image or electronic signature platform) shall be binding and treated as original signatures for all purposes.
