EDUCATIONAL LEARNER SERVICES AGREEMENT

This Educational Learner Services Agreement (Agreement) is entered into as of by and between Service Provider: and Learner / Client Name: .

WHEREAS

WHEREAS, Service Provider delivers educational instruction, training, assessment, and related learner services designed for individual and group learning environments; and

WHEREAS, Learner desires to enroll in the educational program described in this Agreement and to procure Services under the terms and conditions set forth herein; and

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to the provision and receipt of the educational services.

PARTICULARS

SCOPE OF WORK

Service Provider shall provide educational services to Learner as described below. The services shall include instruction, assessment, course materials, and reasonable access to instructors as set out in the program description. Any changes to the scope must be agreed in writing by both parties.

PAYMENT TERMS

Learner agrees to pay Service Provider for the Services in accordance with the amounts and schedule below. Fees are exclusive of applicable taxes unless otherwise stated.

Credit Card ACH / Bank Transfer Check Cash

Late payments shall accrue interest at % per month on overdue amounts, plus any reasonable collection costs. Service Provider may suspend Services if payments are more than days overdue.

TERM AND TERMINATION

The initial term of this Agreement commences on and continues until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within the notice period specified above. Upon termination, Learner shall pay for all Services performed and unreimbursed expenses incurred through the effective date of termination. Refunds, if any, will be calculated on a pro rata basis unless otherwise specified in writing.

CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means non-public information disclosed by one party to the other that is designated confidential or that reasonably should be understood to be confidential. Each party shall: (a) maintain the confidentiality of Confidential Information with at least the same degree of care it uses to protect its own confidential information but no less than reasonable care; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to employees, contractors, or advisors who have a need to know and are bound by confidentiality obligations no less restrictive than those herein. Confidential Information does not include information that is or becomes generally available to the public other than through a breach of this Agreement, is rightfully received from a third party without restriction, or is independently developed without use of Confidential Information.

I consent to the collection and use of my educational records and performance data by Service Provider for the purposes of instruction, assessment, and quality improvement consistent with this Agreement.

INTELLECTUAL PROPERTY

All materials, curricula, assessments, and other works created by Service Provider and provided to Learner in connection with the Services remain the intellectual property of Service Provider unless otherwise expressly assigned in writing. Learner is granted a limited, non-transferable license to use those materials solely for personal educational purposes and for the duration of the Agreement. Learner shall not reproduce, distribute, or create derivative works from such materials without prior written permission.

LIMITATION OF LIABILITY

Except for liability arising from willful misconduct or gross negligence, in no event shall either party be liable to the other for incidental, consequential, exemplary, or punitive damages, and the aggregate liability of either party for any claim arising out of or relating to this Agreement shall not exceed the total fees paid by Learner to Service Provider under this Agreement during the three (3) months preceding the event giving rise to the claim.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located therein for any dispute arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any attachments and schedules incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, or representations, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Notices under this Agreement shall be in writing and delivered to the addresses set forth in this Agreement or to such other address as a party may designate in writing. If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
