RECITALS

WHEREAS, the School operates educational programs and requires qualified instructional services for students enrolled in its programs; and

WHEREAS, the Teacher represents that the Teacher holds the necessary qualifications, certifications, clearances, and experience to perform the instructional services described herein; and

WHEREAS, the School desires to retain the Teacher, and the Teacher desires to provide such services on the terms and conditions set forth in this Agreement.

SCOPE OF WORK

The Teacher shall provide instructional services, lesson planning, student assessment, and related educational duties as set forth below. The Teacher will perform services in a professional manner consistent with applicable educational standards and the School's policies.

TEACHER STATUS AND QUALIFICATIONS

The parties agree that for the purposes of this Agreement the Teacher is acting as:

PAYMENT TERMS

The School shall compensate the Teacher in accordance with the following terms. Compensation shall constitute full payment for all services performed under this Agreement unless otherwise agreed in writing.

The Teacher shall submit invoices in the form required by the School. Unless otherwise agreed in writing, payments will be made within of receipt of a proper invoice.

TERM AND TERMINATION

Term: This Agreement commences on and, unless earlier terminated in accordance with this Agreement, shall continue until .

Either party may terminate this Agreement without cause upon written notice to the other party delivered not less than prior to the effective date of termination.

The School may terminate this Agreement immediately for cause upon written notice if the Teacher materially breaches this Agreement or engages in professional misconduct, including but not limited to failure to maintain required clearances or convictions for offenses that would disqualify classroom service.

CONFIDENTIALITY

The Teacher acknowledges that in performing services the Teacher may receive access to confidential student records, proprietary curricular materials, evaluations, and other non-public information (Confidential Information). The Teacher shall keep Confidential Information strictly confidential and shall not disclose such information except as required by law or necessary to perform the Teacher's duties under this Agreement. Upon termination, the Teacher shall return all Confidential Information in Teacher's possession.

INTELLECTUAL PROPERTY

Materials and works created by the Teacher specifically for the School in the scope of this Agreement shall be considered works made for hire and the exclusive property of the School. To the extent ownership does not automatically vest in the School, the Teacher hereby assigns to the School all rights, title and interest in such works. The Teacher retains ownership of pre-existing materials and may grant the School a nonexclusive, royalty-free license for their use when integrated into School materials.

COMPLIANCE AND INSURANCE

The Teacher shall comply with all applicable laws, regulations, and School policies, including child-protection and mandated reporting obligations. If the Teacher is classified as an independent contractor, the Teacher shall maintain appropriate liability insurance and provide proof of such insurance upon request.

INDEMNIFICATION

Each party agrees to indemnify, defend and hold harmless the other party from and against any claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's negligent acts, willful misconduct, or breach of this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflicts of law principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification must be in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
