WHEREAS, Evaluator: possesses the professional qualifications and agrees to perform a transcript analysis in accordance with the Scope of Work and Payment Terms set forth below; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

Scope of Work

The Evaluator will perform a comprehensive analysis of the academic transcripts submitted by the Client and will produce a written evaluation report. The evaluation will include course-by-course review, credit and grade conversion where applicable, degree equivalency determination, and recommendations for credit transfer or placement.

Late Payment: A late fee of will apply to overdue balances. Client agrees to reimburse the Evaluator for reasonable collection costs and legal fees incurred in enforcing payment.

Either party may terminate this agreement for convenience upon written notice to the other party delivered not fewer than days prior to the effective termination date. Termination for material breach shall be governed by applicable law and the remedies set forth herein.

Confidentiality

Evaluator and Client each agree to maintain in confidence all non-public information obtained from the other party in connection with this engagement, including academic records and personally identifiable information. Confidential information shall not include information that: (a) is or becomes publicly known through no breach of this agreement; (b) is rightfully received from a third party without breach of any obligation of confidentiality; or (c) is required to be disclosed by law or court order, provided the disclosing party gives prompt notice to the other party to permit seeking a protective order.

The confidentiality obligation shall survive termination of this agreement for a period of three (3) years, except that personally identifiable educational records shall be retained and protected in accordance with applicable privacy standards until destroyed.

Client Authorization & Release

By signing below, Client authorizes the release of academic records and information to the Evaluator and consents to the Evaluator's review, copying, and retention of submitted documents solely for the purpose of performing the services described herein. Client certifies that submitted documents are true, complete, and unaltered to the best of Client's knowledge.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that jurisdiction for resolution of disputes arising under this agreement.

This document constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings and agreements, written or oral. Any amendment or modification must be in writing and signed by both parties.

Miscellaneous Provisions

Each party represents and warrants that it has the authority to enter into this agreement. The invalidity or unenforceability of any provision shall not affect the enforceability of the remaining provisions. Headings are for convenience only and do not affect interpretation.
