Authorization and Terms

By signing below, Originator authorizes Beneficiary and Beneficiary's financial institution to initiate ACH entries pursuant to this schedule and to debit or credit the Originator account as set forth in this EFT Payment Schedule. Originator represents and warrants it has authority to permit these debits or credits and that the account information provided is accurate.

This authorization is effective for the period beginning on the Effective Start Date and ending on the Effective End Date, unless earlier revoked by written notice delivered to the other party at least 5 business days prior to the next scheduled transfer. Revocation does not affect transfers already initiated in good faith.

Originator agrees to provide at least 7 calendar days’ notice to Beneficiary of any change to account information. Beneficiary will not be liable for transfers made in accordance with account details provided by Originator. In the event of returned or rejected items, Originator shall be liable for fees, charges, and collection costs incurred by Beneficiary.

Disputes: Originator must notify Beneficiary in writing of any disputed transfer within thirty (30) days of the transfer; failure to timely notify shall constitute a waiver of the dispute except to the extent prohibited by applicable law.

Limitation of Liability and Indemnity: Each party shall be liable for its own negligent acts and omissions. Originator shall indemnify and hold harmless Beneficiary from claims, losses, or damages arising from inaccurate account information or unauthorized instructions originating from Originator's account.

Compliance and Governing Law

Each party shall comply with applicable payment system rules and applicable law. This EFT Payment Schedule shall be governed by the laws of the state specified by the parties below, without regard to conflicts of law principles.
