EGG DONATION AGREEMENT

This Egg Donation Agreement (the "Agreement") is entered into as of between Donor Name: , residing at , date of birth (hereinafter "Donor"), and Recipient Name: , residing at , date of birth (hereinafter "Recipient"). Donor and Recipient are each a "Party" and collectively the "Parties."

RECITALS

WHEREAS, Recipient desires to receive eggs from Donor for the purpose of assisted reproductive treatment and potential creation of embryos for transfer and/or storage; and

WHEREAS, Donor has voluntarily agreed to provide eggs subject to medical screening, counseling, and the terms set forth in this Agreement; and

WHEREAS, the Parties intend to set forth their respective rights, obligations, and the disposition of eggs and any embryos created from those eggs.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the Parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement: "Eggs" means oocytes retrieved from Donor; "Cycle" means the ovarian stimulation and retrieval procedure(s); "Clinic" means the licensed medical facility identified by Recipient where treatment will occur; "Escrow Agent" means the third party designated to hold compensation pending completion of services.

2. DONATION PROCEDURES

Donor agrees to undergo medical evaluation, counseling, and any screening deemed necessary by the Clinic. Donor shall comply with prescribed medication regimens, attend scheduled appointments, and follow pre- and post-procedure instructions. Recipient shall coordinate scheduling with the Clinic and shall be responsible for arranging necessary consent forms at the Clinic.

3. MEDICAL SCREENING, TESTING AND CONSENT

Donor consents to undergo all medical tests and mental health evaluations required by the Clinic and by applicable medical standards, including but not limited to infectious disease testing, genetic screening, and gynecological assessment. Donor authorizes the release of test results to Recipient and the Clinic for the purposes of treatment planning and medical care. Donor warrants that she has disclosed known medical conditions and family medical history in good faith.

4. COMPENSATION AND EXPENSES

Recipient shall pay Donor compensation in consideration for the services provided under this Agreement. Compensation and reimbursement of reasonable expenses shall be disbursed in accordance with the schedule set forth below and subject to the conditions of this Agreement.

Compensation will be disbursed through Escrow Agent if one is used. Unless otherwise agreed in writing, Donor will not be paid for cycles cancelled for medical reasons prior to retrieval, except for reasonable documented expenses incurred.

5. OWNERSHIP AND PARENTAGE

Upon retrieval, any Eggs and any embryos created therefrom shall be the property of Recipient. Donor irrevocably assigns to Recipient all rights, title and interest in and to Eggs and any resulting embryos. Donor expressly waives any parental or custodial rights, visitation rights, or entitlement to custody of any child born as a result of the donation.

6. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants that: (a) it has full legal capacity and authority to enter into this Agreement; (b) all information provided to the other Party and to the Clinic is true, complete, and accurate to the best of its knowledge; and (c) entering into and performing this Agreement will not violate any contractual or legal obligations of that Party.

7. RISK ACKNOWLEDGMENT AND RELEASE

Donor acknowledges that donation procedures carry risks, including but not limited to ovarian hyperstimulation syndrome, infection, bleeding, anesthesia-related risks, and future reproductive implications. Donor has had the opportunity to receive counseling and to ask questions of medical personnel. To the fullest extent permitted by law, Donor releases Recipient and Clinic from claims arising from standard risks of the procedure, except where caused by gross negligence or willful misconduct.

8. CONFIDENTIALITY AND ANONYMITY

Parties shall maintain confidentiality regarding identifying information about Donor and Recipient except as required for medical care, legal process, or as otherwise required by law. If Donor elects anonymity, such election shall be documented and reasonable measures shall be taken to protect identity, provided that anonymity is subject to legal and medical reporting obligations.

9. INDEMNIFICATION

Each Party shall indemnify, defend and hold harmless the other Party, its agents and the Clinic from and against all claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising out of breach of this Agreement or the indemnifying Party's negligence or willful misconduct.

10. RECORDS, TESTING RESULTS AND STORAGE

Test results and medical records relating to the donation shall be maintained by the Clinic. Recipient shall be entitled to copies of relevant test results. Decisions regarding cryopreservation, storage duration, disposition, or destruction of embryos shall be governed by Recipient's written instructions and the Clinic's informed consent and storage policies.

11. TERMINATION AND WITHDRAWAL

Donor may withdraw consent at any time prior to egg retrieval by providing written notice to Recipient and the Clinic. Withdrawal after administration of medication or after retrieval may have financial consequences as described in the Payment Schedule. Recipient may terminate this Agreement for medical or legal reasons; in such event, the Parties shall cooperate to minimize harm and address compensation for services rendered and documented expenses.

12. NOTICES

All notices under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a Party designates by written notice in accordance with this section.

13. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles.

14. ENTIRE AGREEMENT; AMENDMENT; WAIVER; SEVERABILITY; COUNTERPARTS

This Agreement constitutes the entire understanding and agreement of the Parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. This Agreement may be amended only by a written instrument signed by both Parties. No waiver shall be effective unless in writing and signed by the waiving Party. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Agreement may be executed in counterparts, each of which shall be deemed an original.
