What the EGM Document Template Is

The EGM Document Template is a standardized notice and resolution package used to convene an Extraordinary General Meeting of a corporation's shareholders or members. It typically includes the meeting date, time, location or virtual access details, agenda items, proposed resolutions, quorum and voting instructions, and signer blocks for officers and secretaries. Organizations use the template to ensure consistent notice content, meet statutory notice requirements, and record decisions. The template can be adapted for electronic distribution and eSignature workflows subject to ESIGN and applicable state law.

Why the EGM Document Template Matters

Using an EGM Document Template helps meet legal notice requirements, reduces drafting errors, and creates a consistent record of shareholder decisions. Templates support auditable distribution and signing workflows and make it easier to demonstrate compliance with ESIGN, UETA, and state corporate statutes.

Why the EGM Document Template Matters

Typical users and signers of an EGM template

Companies, boards, and counsel use the template to prepare notices and resolutions for extraordinary meetings.

  • Corporate secretaries and general counsel draft notices, confirm quorum requirements, and manage distribution.
  • Board chairs and directors review agendas, propose resolutions, and certify meeting outcomes.
  • Shareholders receive notices, vote on resolutions, and provide proxy instructions when allowed.

Small companies, non‑profits, and financial sponsors use simplified versions; public companies follow stricter notice and documentation practices.

Core sections to include in an EGM Document Template

A complete EGM Document Template organizes notice details, agenda, proposed resolutions, voting instructions, proxies, and signature blocks to satisfy governance and recordkeeping needs.

Meeting Details

Date, time, physical location or virtual access link, organizer contact, required notice period, and documentation needed to enter the meeting.

Agenda Items

List proposed business to be transacted with clear wording for each resolution, motion, or report; reference supporting materials before the meeting.

Resolutions

Draft precise resolution language stating the proposed action, implementation details, effective date, and any authority granted to officers to execute tasks arising from the resolution.

Voting Instructions

Specify voting eligibility, quorum thresholds, voting methods (in person, proxy, electronic), majority requirements, proxy submission instructions, and deadlines to be valid.

Proxies

Include proxy appointment form or mechanics, alternate proxy options, revocation process, validity period, and instructions for returning executed proxies electronically or by mail within specified deadlines.

Signatures

Signature block for corporate officers and secretary, date fields, certification of notice delivery, and space for electronic signature metadata or notarization details by state law.

Step-by-step: preparing and issuing an EGM notice

Follow these sequential steps to prepare, distribute, and record an EGM notice and resolutions in compliance with corporate requirements.

  • 01
Prepare Notice: Draft meeting details, agenda, and resolution text.
  • 02
Confirm Quorum: Check shareholder lists and proxy qualifications.
  • 03
Distribute Notice: Send via mail, email, and eDelivery per bylaws.
  • 04
Record Minutes: Document votes, certify results, and file records.

Configure an online workflow for EGM completion

Set up field mapping, signer order, authentication, and retention options when using an eSignature platform for EGM notices and resolutions.

Field Configuration
Signer Order Set signing sequence: single signer or sequential multiple signers
Authentication Email-only, SMS code, or KBA depending on required assurance
Retention Setting Store signed PDF and audit trail for required retention period
Notifications Automatic reminders, delivery receipts, and completion alerts for stakeholders

Platform considerations for electronic EGM notices

Choose a platform that supports secure eDelivery, customizable fields, audit trails, and retention controls compatible with corporate recordkeeping.

  • Document formats: PDF and Word DOCX formats supported
  • Integrations: Salesforce, NetSuite, Google Workspace
  • Security & Compliance: TLS 1.2/1.3; AES-256 at rest

How electronic distribution and signing typically work

An eDelivery workflow lets organizers prepare the template, assign signers, authenticate recipients, and capture an audit trail for each executed notice.

  • Upload Template: Import Word or PDF version into the eSignature platform.
  • Place Fields: Add signature, date, and conditional fields as needed.
  • Assign Signers: Enter signer emails and define signing order.
  • Execute & Archive: Signer completes form; system stores PDF and audit log.

Typical notice, record, and voting timelines

Key dates include the record date, notice delivery deadlines, voting deadlines, and any statutory periods required by corporate law or bylaws.

Record date establishment:

Determine and state record date to fix shareholder list for notice and voting eligibility.

Minimum notice period:

Follow bylaws or state law; typical periods are 10–60 days depending on entity type.

Proxy submission deadline:

Specify cutoff for receiving proxies and electronic ballots before the meeting.

Special filing requirements:

Public companies may require SEC filings or stock exchange notices linked to corporate actions.

Minute recording deadline:

Record and certify minutes promptly; some states expect filing or availability within reasonable time.

Key milestones for an EGM lifecycle

A timeline of essential milestones helps ensure notices are issued, votes collected, and corporate records updated correctly.

01

Issue Notice

Finalize content and send notices in line with minimum notice period.

02

Solicit Proxies

Accept proxy forms and confirm validity ahead of the meeting.

03

Hold Meeting

Conduct meeting, verify quorum, hear motions, and vote on resolutions.

04

Certify Results

Prepare minutes and resolution certifications; file or distribute final records.

Common preparation pitfalls to avoid

  • Failing to set a clear record date or using an outdated shareholder list can invalidate notice delivery and result in excluded votes or legal challenges.
  • Ambiguous resolution language or missing operative clauses leads to uncertainty about authority, implementation, and could prompt requests for amendment or court review.
  • Neglecting to provide proxy submission methods or clear deadlines reduces participation and may breach bylaws or state notice requirements.
  • Relying on unverified electronic delivery without proper consent or consumer disclosures risks noncompliance with ESIGN Act consent rules for consumer-facing notices.

Consequences of defective EGM documents

Invalid Meeting: Corporate actions may be void
Litigation Risk: Shareholder challenges possible
Regulatory Filing: Late SEC notices risk penalties
Tax Implications: Incorrect dates affect reporting
Financial Costs: Attorney fees and remediation
Compliance Failure: Breach of state corporate law
