What the Eid Agreement Is and When It Applies

The Eid Agreement (Electronic Identification Agreement) is a contractual framework that sets the terms for verifying and using electronic identities between a service provider and a signer or relying party. It defines acceptable identity proofing methods, authentication levels, responsibilities for identity verification, data handling, retention, audit logging, and liability allocation for digital transactions. The agreement clarifies which electronic signature types and notarization methods are permitted and explains applicable legal frameworks such as the ESIGN Act (15 U.S.C. ch. 96) and UETA (1999), helping organizations maintain enforceability and regulatory compliance.

Why an Eid Agreement Matters for Digital Identity

An Eid Agreement reduces identity-related disputes, standardizes authentication processes, and supports legal enforceability for electronic transactions. By documenting proofing methods, consent, and retention, it lowers fraud risk, clarifies liability, and helps satisfy ESIGN/UETA requirements for admissible electronic records.

Why an Eid Agreement Matters for Digital Identity

Organizations That Commonly Use an Eid Agreement

Identity providers, healthcare portals, financial institutions, and government contractors commonly use an Eid Agreement when digital identity verification is required for regulated transactions.

  • Real Estate and title companies verifying remote signers for property conveyance and escrow processes.
  • Healthcare providers collecting consent and authorization under HIPAA with strong identity proofing and audit logs.
  • Banks and financial services using multi-factor identity verification for account opening, loans, and payments.

Use an Eid Agreement when transactions require reliable identity attribution, traceable audit trails, and predefined remediation for disputed authentications.

Core Elements to Include in an Eid Agreement

Core clauses in an Eid Agreement define identity proofing standards, authentication procedures, roles, liability limits, data protection, and record retention to ensure enforceable digital transactions.

Identity Proofing

Specify acceptable identity verification methods (ID document checks, credential analysis, KBA, biometric verification), minimum assurance levels, and third-party identity provider obligations to reduce onboarding fraud and prove signer attribution in disputes.

Authentication Methods

List permitted authentication factors (password, SMS OTP, hardware token, biometrics), session timeout policies, and re-authentication triggers for high-risk actions to align with applicable regulatory expectations.

Roles & Responsibilities

Define who may initiate identity checks, who can rely on verified identities, procedures for subcontractors, and escalation paths when identity proofing fails or suspicious activity is detected.

Data Handling

Require encryption at rest and in transit, access controls, minimum data retention limits, and obligations to delete or return credentials when agreements terminate per policy.

Audit & Logging

Specify audit logging requirements, timestamp formats, retention of audio-video for remote notarizations, access to logs for audits, and procedures for providing certificates of completion to relying parties.

Liability & Remedies

Include limitation of liability, indemnification clauses, dispute resolution method, and remedies for failed authentication events, including rollback, re-verification, or suspension of access and notification procedures.

Step-by-Step: How to Implement and Execute an Eid Agreement

Follow these steps to implement, execute, and maintain an Eid Agreement across signing workflows while preserving legal validity and auditability.

  • 01
Prepare Template: Draft core clauses and required fields.
  • 02
Select Methods: Choose identity proofing and authentication levels.
  • 03
Collect Consent: Provide ESIGN disclosures and obtain consent.
  • 04
Execute & Record: Sign, timestamp, and store audit logs.

Configuring the Digital Workflow for an Eid Agreement

Configure the digital workflow to collect identity attributes, require authentication, retain evidence, and route documents to relying parties or record systems.

Field Configuration
Identity Provider Select identity provider (IDP) or third-party verifier; configure API keys and SLA.
Authentication Enable MFA, SMS OTP, or biometric challenge.
Notarization Enable RON or in-person notarization per jurisdiction.
Retention Automate retention and deletion per policy and law.

Platform and Integration Requirements

Choose platforms that support required identity proofing, cryptographic options, and audit trails compatible with ESIGN, UETA, and industry rules.

  • Integrations: Salesforce, NetSuite, Google Workspace supported.
  • File Types: PDF, DOCX, and HTML accepted.
  • Security: TLS 1.2/1.3 and AES-256 encryption.

Typical Execution Flow for an Eid Agreement

Typical flow for an Eid Agreement covers enrollment, verification, consent capture, signing, notarization (if needed), and evidence retention for audits.

  • Enroll: Collect identity attributes and supporting documents.
  • Verify: Run KBA, credential analysis, or biometric check.
  • Consent: Obtain ESIGN disclosure and explicit consent.
  • Record: Store signed record and audit trail securely.

Penalties and Risks of an Incorrect or Incomplete Eid Agreement

Fraud Exposure: Unauthenticated signers enable fraud.
Regulatory Fines: Noncompliance with HIPAA or 21 CFR Part 11.
Contract Voidance: Incorrect identity can invalidate agreement.
Backup Withholding: Missing TINs trigger 24% withholding.
HIPAA Breach Risk: Improper handling leads to six-year liability.
Operational Delay: Failed verification halts transactions.

Common Preparation Mistakes to Avoid

  • Using inconsistent identity proofing methods across contracts creates gaps in attribution and causes disputes over signer identity and liability.
  • Failing to provide ESIGN consumer disclosures when required can void electronic consent and undermine the agreement's admissibility in court.
  • Relying on image-only signatures without sufficient audit logs makes proving intent and attribution difficult in contested cases.
  • Ignoring state-specific notarization or witness rules can render certain transactions unenforceable or trigger re-execution requirements.
