ELECTION AGREEMENT FORM

This Election Agreement (the "Agreement") is entered into as of by and between Party A: with principal address , and Party B: with principal address .

RECITALS

WHEREAS, the Parties desire to establish binding procedures and responsibilities governing the conduct of an election to select certain representatives or officers as set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth below, the Parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the terms below have the following meanings: "Election" means the selection process described herein; "Election Administrator" means the individual or entity appointed pursuant to Section 7; "Voter List" means the list of persons entitled to vote prepared under Section 3.

4. NOTICE OF ELECTION

Notice to eligible voters shall be provided no fewer than days prior to the Election Date and shall include the time, place, method of voting, the positions to be filled and instructions required to cast a ballot.

5. NOMINATIONS AND BALLOT CONTENT

Nominations shall close on or before . The Parties shall agree upon ballot wording and any references to incumbency at least five (5) business days prior to ballot distribution.

Each Party shall have the right to designate observers or challengers to observe the voting and counting processes. Observers shall be designated in writing by and shall comply with the Administrator's reasonable rules.

Costs of administering the Election, including Administrator fees, mailing, and ballot printing, shall be allocated as follows:

Voting records, personally identifiable voter information, and ballots shall be treated as confidential to the extent permitted by applicable law. Records shall be retained for a period of unless a different period is required by law.

The Parties shall attempt in good faith to resolve any dispute arising under this Agreement. If the Parties cannot resolve a dispute within thirty (30) days, the dispute shall be resolved by:

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect.

Amendments and Waiver: This Agreement may be amended only by a writing signed by both Parties. No waiver of any breach shall be effective unless in writing and signed by the non-breaching Party.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, overnight courier, or first-class mail (postage prepaid) and shall be effective upon receipt.

CERTIFICATION

Each Party warrants and represents that the person executing this Agreement on its behalf is duly authorized to bind such Party, that all information provided to the Election Administrator is true and complete to the best of its knowledge, and that it will cooperate in good faith to effectuate the Election in accordance with this Agreement.
