Recitals

WHEREAS, Principal is the duly authorized owner or representative of the rights, interests, or authority described herein and desires to delegate certain decision-making powers to the Agent for the limited purposes set forth in this document; and

WHEREAS, Agent represents that Agent has the authority, competency and agrees to act on behalf of Principal to perform the actions, make elections, execute documents, and take such steps as are within the Scope of Authorization below; and

WHEREAS, Principal and Agent desire to set forth the terms, compensation and limitations applicable to this authorization in writing.

Scope of Authorization

The Agent is authorized to perform the actions specifically described below and any ancillary acts reasonably necessary to effect those actions. This authorization is limited to the matters expressly identified and any extension must be in writing.

Payment Terms

Compensation for services rendered by Agent in connection with this authorization shall be as set forth below. Fees payable under this section are the sole compensation due to Agent unless otherwise agreed in writing.

Term and Termination

This authorization commences on and continues through unless earlier terminated in accordance with this Agreement.

Either party may terminate this authorization for convenience upon providing written notice as set forth above. Termination does not relieve Principal of obligations to pay for services already performed or expenses reasonably incurred by Agent prior to termination.

Confidentiality

Agent shall treat as confidential all non-public information obtained from Principal in connection with the authorized actions and shall not disclose such information except (a) as required to perform the authorized actions, (b) as required by law or order of a court of competent jurisdiction, or (c) with the prior written consent of Principal. Agent shall take reasonable measures to protect confidential information and shall be liable for unauthorized disclosure caused by Agent's willful misconduct or gross negligence. Nothing in this section limits Principal's right to seek injunctive relief to prevent unauthorized disclosure.

Governing Law

This Authorization shall be governed by and construed in accordance with the laws of without regard to conflict of laws principles.

Entire Agreement

This document constitutes the entire agreement between Principal and Agent with respect to the subject matter hereof and supersedes all prior negotiations, representations, and agreements, whether written or oral. Any amendment or modification must be in writing and signed by both parties.

Principal represents and warrants that Principal has full authority to grant the authorization set forth herein. Agent certifies that Agent will act in good faith, in the best interests of Principal, and in accordance with all applicable laws and fiduciary duties in carrying out the authorized actions.
