WHEREAS, the parties desire a documented template that both records voter choices for precinct-level use and establishes terms governing the template's provisioning, use, confidentiality, delivery and acceptance.

Scope of Work

The Provider will prepare, format and deliver a ballot template in the configuration specified below. The template shall permit the capture of voter selections, write-ins, precinct and serial tracking, and spoilage indicators. Delivery formats, acceptance criteria and any integration requirements must be specified in the scope below.

Payment Terms

In consideration for the services described in this template agreement, the Election Authority shall pay the Provider the amounts and on the schedule set forth below. All fees are exclusive of taxes unless otherwise stated.

Term and Termination

This agreement becomes effective on the Start Date below and continues until the End Date unless earlier terminated in accordance with this section.

Confidentiality

Each party shall maintain in confidence all non-public information obtained in connection with the preparation, delivery or use of the ballot template, including but not limited to template source files, internal procedures, voter registration data and audit logs. Confidential information shall not be disclosed except to employees, contractors or agents with a need to know and who are bound by substantially similar confidentiality obligations. This obligation survives termination for a period of five (5) years.

Governing Law

This agreement shall be governed by and construed in accordance with the laws of the State or jurisdiction specified below, without regard to its conflicts of law principles.

Entire Agreement

This document, together with any exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, representations and agreements, whether written or oral. Any modification must be in writing and signed by authorized representatives of both parties.

Acceptance and Certification

The parties certify that the ballot layout and legal terms contained in this template are prepared for official use as indicated. The Election Authority accepts the template subject to successful testing and acceptance criteria recorded in the scope. The Provider certifies that the template has been prepared in accordance with the specifications set forth herein.
