Permits, Inspections & Compliance

Contractor warrants that workmanship performed under this Agreement shall be free from defects for a period of months from substantial completion. Manufacturer warranties for parts and equipment are assignable only as stated by the manufacturer.

Default, Remedies & Liens

If a party defaults, the non-defaulting party shall provide written notice and a cure period of days to cure. If not cured within the cure period, the non-defaulting party may pursue available legal and equitable remedies, including termination, recovery of damages, and recovery of costs and attorneys' fees as permitted by law.

Contractor shall pay all subcontractors and suppliers and shall not allow liens to encumber the Property. Contractor shall promptly resolve any lien claim or, at Owner's election, Contractor shall bond off the lien.

Change Orders

Any alteration or modification to the Scope of Work, Contract Price, or Schedule must be documented in a written change order signed by both Owner and Contractor. Unauthorized work or materials shall not be paid by Owner.

Indemnity

Contractor shall indemnify, defend and hold harmless Owner from and against claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising out of Contractor's negligent performance or breaches of this Agreement, except to the extent caused by Owner's negligence or willful misconduct.

Termination

Either party may terminate this Agreement for material breach if the breach is not cured within the cure period stated above. Owner may also terminate for convenience upon written notice; in such event Owner shall pay Contractor for work properly performed to date and proven costs reasonably incurred for demobilization.

Governing Law & Entire Agreement

This Agreement shall be governed by the laws of the state of . This Agreement, together with any signed change orders, embodies the entire agreement between the parties and supersedes all prior oral and written understandings.

Notices
