Representations, Warranties and Covenants

Payer represents and warrants that the account information provided is accurate and that Payer is an authorized signer on the identified account. Payer covenants to maintain sufficient available funds to cover authorized transfers. Payer further warrants that no authorization obtained hereunder is for an unlawful purpose.

Authorization Scope, Cancellation and Revocation

This authorization remains in effect until Originator receives written revocation from Payer and has a reasonable opportunity to act upon it. Revocation is not effective to prevent transfers already initiated in accordance with this Agreement. Payer may revoke standing authorizations by providing written notice to Originator at the contact information set forth below.

Liability, Indemnity and Error Resolution

Originator shall be responsible for ensuring that transfer instructions transmitted to the financial institution comply with the terms of this Agreement. Payer must notify Originator promptly of any error, unauthorized transfer, or discrepancy. Neither Originator nor the receiving financial institution shall be liable for indirect, incidental, special or consequential damages. Payer agrees to indemnify and hold harmless Originator and its agents against claims arising from Payer's breach of representations or misuse of this authorization.

Fees and Charges

Payer agrees that Originator may assess fees for returned items, failed debits, or other administrative costs in accordance with Originator's standard fee schedule. Such fees will be disclosed to Payer in writing prior to assessment.

Confidentiality and Data Security

Originator will use commercially reasonable administrative, technical and physical safeguards to protect Payer's account and personally identifiable information. Notwithstanding such safeguards, Payer consents that data required to effect transfers may be disclosed to financial institutions and processors to the extent necessary to complete the transfer.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the jurisdiction in which Originator is incorporated, without regard to its conflict of law principles. Parties agree that any dispute arising under this Agreement shall be resolved by binding arbitration or in the courts specified in Originator's corporate location, as elected by Originator in its sole discretion.

Miscellaneous

This Agreement constitutes the entire agreement between the parties concerning electronic funds transfers and supersedes prior agreements. No modification is effective unless in writing and signed by both parties. If any provision is held invalid, the remaining provisions remain in force.
