ELECTRONIC SIGNATURE AGREEMENT

Recitals

WHEREAS, Client engages Service Provider to perform certain services described below and the parties desire to permit the use of electronic signatures, electronic records and electronic delivery of documents in connection with those services; and

WHEREAS, the parties intend that electronic signatures and electronic records have the same force and effect as handwritten signatures and paper records for all transactions contemplated by this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants set forth herein, the parties agree as follows.

Scope of Work

Payment Terms

Client shall pay Service Provider a total fee of $ for the services described above, subject to the schedule and conditions set forth below.

All undisputed amounts not paid within days of invoice receipt shall accrue interest at a rate of % per month (or the maximum rate permitted by law), plus all reasonable collection costs.

Term and Termination

This Agreement shall commence on and continue in effect until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate immediately upon material breach by the other party that remains uncured for ten (10) days after receipt of written notice of such breach.

Confidentiality

Each party shall keep confidential and not disclose to any third party any non-public information disclosed by the other party that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information ("Confidential Information"). Confidential Information shall not include information that is publicly known through no fault of the receiving party, independently developed by the receiving party without reference to the disclosing party's Confidential Information, or required to be disclosed by law (provided the receiving party gives prompt notice and reasonable cooperation to limit the disclosure). The receiving party shall use at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but not less than a reasonable standard of care.

Electronic Signature and Records Consent

By executing this Agreement electronically, each party:

I consent to the use of electronic signatures that constitute a legally binding signature.

I consent to receive records and notices related to this Agreement in electronic form, including by email or other electronic delivery methods.

Each party represents that it has the capacity and authority to execute this Agreement electronically, that it can access and retain the electronic records provided, and that it may withdraw consent to receive records electronically by providing written notice to the other party; withdrawal shall not affect the validity or enforceability of any electronic records or signatures executed prior to such withdrawal.

Representations and Warranties

Each party represents and warrants that (a) it has the full right, power and authority to enter into this Agreement; (b) the individual executing this Agreement on its behalf is duly authorized to do so; and (c) no consent, approval or authorization of any third party is required for execution or performance of this Agreement, except as expressly set forth in this Agreement.

Governing Law; Remedies; Miscellaneous

This Agreement shall be governed by and construed in accordance with the laws of the state identified by the parties below without regard to conflicts of law principles. The parties agree that monetary damages would be inadequate to remedy a breach of the confidentiality or electronic signature provisions and that the non-breaching party shall be entitled to injunctive relief in addition to any other remedies available at law or in equity.

If any provision of this Agreement is held to be unenforceable, the remaining provisions shall remain in full force and effect. No waiver of any breach shall constitute a waiver of any other or subsequent breach.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. Any amendment or modification to this Agreement must be in writing and signed by both parties (which may be by electronic signature).

Execution

The parties agree that this Agreement may be executed in counterparts, that electronic copies (including PDF) of signatures shall be deemed originals, and that signature by electronic means shall be binding on the parties.
