What the Elements RES ICA Document Is and when it applies

The Elements RES ICA Document is a standardized independent contractor agreement tailored for real estate and related services. It sets out the relationship between a principal (broker, agency, or owner) and an independent contractor (agent, contractor, or consultant), defining scope of work, payment terms, insurance and liability allocation, confidentiality, intellectual property assignment, and termination mechanics. The template is designed for use where services are performed on a contract basis rather than as employment, and it includes optional clauses for state-specific compliance, nondisclosure, and commission or fee calculation methods.

Why this agreement matters for risk and clarity

A clear, written ICA reduces misclassification risk, protects proprietary information, establishes payment mechanics, and documents rights and obligations. Well-drafted terms reduce disputes and support consistent treatment across jurisdictions while improving audit readiness for payroll, tax reporting, and licensing checks.

Why this agreement matters for risk and clarity

Typical users and signers of the Elements RES ICA Document

Use this template when the relationship is contractual, not employment-focused, and when documentation is needed for tax, licensing, or compliance purposes.

  • Brokerages and real estate agencies hiring sales agents or listing specialists under commission arrangements.
  • Independent contractors providing property management, showing, or marketing services.
  • Project owners and general contractors engaging trade contractors for discrete real estate projects.

Primary signatory profiles

Broker/Agency

A licensed broker or agency that engages independent contractors to perform sales, leasing, property management, or related services. Responsibilities typically include supervision limits, commission split mechanics, licensing watch, and indemnity clauses to limit broker exposure.

Independent Contractor

An individual or business providing services under contract rather than employment. The contractor must deliver services per scope, carry required insurance, report taxes as self-employed, and comply with applicable licensing and confidentiality obligations.

Core sections to include for a professional ICA

A complete Elements RES ICA Document should clearly define parties, the scope of services, compensation, expenses, term and termination, confidentiality, intellectual property, indemnification, insurance, tax status, dispute resolution, and any state-specific disclosure or licensing clauses.

Parties & Recitals

Identify legal entity names, DBA if any, business addresses, and the effective date; include recitals describing the purpose of the engagement and status of contractor (independent contractor, not employee).

Scope of Work

Specify deliverables, performance standards, reporting requirements, milestones or commission triggers, and any exclusivity or territorial limits that affect compensation or competition.

Compensation

State payment amounts or formulas, timing (net days), withholding responsibilities, expense reimbursement procedures, and how commissions or bonuses are calculated and disputed.

Term & Termination

Set the initial term, automatic renewals if any, termination for convenience or cause, notice periods, and post-termination obligations for commissions and record returns.

Confidentiality & IP

Detail confidential information definitions, permitted disclosures, trade secret protections, and assignment of work product or IP created during the engagement.

Compliance & Insurance

Require contractor licensing, background checks if relevant, carry specified insurance limits, and comply with applicable laws including state real estate licensing rules.

Frequent mistakes to avoid when preparing the ICA

  • Using vague payment language without precise formulas or dates, which creates disputes over commission calculations and timing of payments.
  • Failing to confirm contractor licensing and insurance prior to execution, exposing the principal to regulatory or liability risk during performance.
  • Relying on handwritten or image-only signatures without an audit trail, which can complicate enforcement and authentication of signing events.
  • Not aligning the contract with state-specific rules for notary, witness, or statutory disclosures, potentially invalidating certain clauses in some jurisdictions.

Real-world adaptations and outcomes

Two concise examples show how organizations adapted the Elements RES ICA Document to their operations.
