WHEREAS, Property / Owner operates the building and the vertical transportation equipment located at the Property address identified above; and

WHEREAS, Contractor requires exclusive or reserved use of certain elevator(s) for construction, delivery, or special operations in connection with the project described below; and

WHEREAS, Property is willing to grant a reservation subject to the terms, conditions, insurance and payment obligations set forth in this Agreement.

Insurance, Indemnity & Damage Repair

Contractor shall maintain comprehensive general liability insurance with limits not less than per occurrence and shall name Property as an additional insured as required by Property. Prior to commencement, Contractor shall deliver a certificate of insurance to Property.

Contractor shall indemnify, defend and hold harmless Property, its agents and employees from any claims, losses, damages or expenses (including reasonable attorneys' fees) arising from Contractor's use of the elevator(s) or Contractor's performance under this Agreement, except to the extent caused by Property's gross negligence or willful misconduct.

In the event of damage to elevator(s) or related building systems caused by Contractor or Contractor's agents, Contractor shall promptly repair or pay for repair to Property's reasonable satisfaction.

Access, Security & Use Conditions

Access to the elevator(s) will be provided only during the reserved times and in accordance with Property's rules, which may include escorted access, use of protective materials, load limits and prohibition of hazardous materials. Contractor is responsible for all barricades, protections, and signage necessary for safe operation.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure within days after written notice. Property may suspend access immediately for safety concerns or violations of the use conditions.

Confidentiality

Each party shall hold in confidence and not disclose to any third party any non-public business or technical information obtained in connection with the performance of this Agreement, except as required for performance, by law, or with prior written consent of the disclosing party. Confidentiality obligations shall survive termination for a period of two (2) years.

Compliance with Laws and Regulations

Contractor shall comply with all applicable laws, codes, ordinances, and safety regulations governing elevator use, construction activity and worker safety. Contractor shall obtain any permits required for the reserved activity at its sole cost.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is located, without regard to conflict of law principles.

Entire Agreement

This Agreement, including any attachments or approved schedules signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings and agreements. No modification of this Agreement will be effective unless in writing and signed by both parties.

Miscellaneous Provisions

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Notices shall be in writing and delivered to the addresses provided above.
