ELIGIBILITY END USER LICENSE AGREEMENT

This Eligibility End User License Agreement (Agreement) is entered into as of Effective Date: by and between Licensor Name: (Licensor) and Licensee Name: (Licensee).

RECITALS

WHEREAS, Licensor develops and licenses software, services and related documentation that are protected by intellectual property rights and require that end users meet certain eligibility criteria prior to authorization to access or use such software (Licensed Software); and

WHEREAS, Licensee desires to obtain and Licensor is willing to grant a non-exclusive, non-transferable license to use the Licensed Software solely on the terms and conditions set forth in this Agreement, provided that Licensee satisfies the eligibility requirements set forth herein; and

WHEREAS, the parties intend by this Agreement to define the eligibility representations, restrictions, remedies, and other legal rights and obligations concerning the Licensed Software.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

1. DEFINITIONS

1.1 "Licensed Software" means the software, associated documentation, updates, and any modules or add-ons Licensor provides to Licensee pursuant to this Agreement.

1.2 "Eligible User" means a natural person or legal entity who meets the eligibility criteria set forth in Section 3 and who has been expressly authorized in writing by Licensor to use the Licensed Software.

2. LICENSE GRANT

Subject to Licensee's compliance with this Agreement and satisfaction of the eligibility requirements in Section 3, Licensor hereby grants Licensee a limited, non-exclusive, non-transferable, revocable license to install and use the Licensed Software solely for Licensee's internal business purposes and only by Eligible Users during the Term set forth in Section 6.

3. ELIGIBILITY REPRESENTATIONS AND WARRANTIES

3.1 Licensee represents and warrants that each person who will access or use the Licensed Software on Licensee's behalf: (a) is at least eighteen (18) years of age or the minimum age required to form a binding contract in the applicable jurisdiction; (b) is not a resident of, organized under the laws of, or located in a jurisdiction prohibited by applicable export or sanctions laws; and (c) is not subject to any legal restriction that would prevent access to or use of the Licensed Software.

3.2 Licensee shall promptly provide any documentation reasonably requested by Licensor to verify Licensee's or an individual user's eligibility. Failure to provide satisfactory proof of eligibility within the time specified by Licensor shall constitute a material breach of this Agreement.

3.3 Licensee hereby certifies the following (check each box to indicate acceptance and representation):

Licensee and each End User are at least the minimum age required to form a binding contract.
Licensee and each End User are not subject to sanctions or export restrictions that would prohibit use of the Licensed Software.
Licensee has the authority to enter into this Agreement and to bind any organization on whose behalf Licensee acts.

4. USE RESTRICTIONS

Licensee shall not, and shall not permit any third party to: (a) reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from the Licensed Software except to the extent expressly permitted by applicable law; (b) sublicense, distribute, lease, rent, or timeshare the Licensed Software; (c) use the Licensed Software in a manner that exceeds the scope of the license granted in Section 2; or (d) use the Licensed Software in violation of any applicable law, regulation, or third-party right.

5. CONSIDERATION; FEES

If the Licensed Software is provided for a fee, Licensee agrees to pay all fees in accordance with the payment terms set by Licensor. Fees and payment schedule (if applicable):

6. TERM AND TERMINATION

6.1 Term. This Agreement commences on the Effective Date and continues for the period specified by Licensor or until terminated in accordance with this Section 6 (Term).

6.2 Termination for Ineligibility or Breach. Licensor may suspend or terminate Licensee's license immediately upon discovery that Licensee or any End User no longer meets the eligibility requirements, or upon material breach of this Agreement by Licensee which is not cured within days after written notice.

7. INTELLECTUAL PROPERTY

Licensor retains all rights, title and interest in and to the Licensed Software, including all intellectual property rights. No ownership rights are transferred to Licensee by this Agreement. Licensee shall not remove or obscure any proprietary notices on the Licensed Software.

8. CONFIDENTIALITY

Each party shall maintain in confidence all Confidential Information of the other party and shall not use such Confidential Information except as necessary to perform under this Agreement. Confidential Information does not include information that is publicly known or independently developed without use of the other party's Confidential Information.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA OR BUSINESS ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LICENSOR'S AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF THIS AGREEMENT SHALL NOT EXCEED THE FEES PAID BY LICENSEE TO LICENSOR DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. INDEMNIFICATION

Licensee shall defend, indemnify, and hold harmless Licensor and its officers, directors and agents from and against any third-party claims, damages, losses and expenses arising out of Licensee's breach of Section 3 or Licensee's misuse of the Licensed Software.

11. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as either party may designate by notice in accordance with this Section.

12. AMENDMENT; WAIVER; SEVERABILITY

This Agreement may be amended only by a written instrument signed by both parties. No failure or delay by either party in exercising any right shall operate as a waiver of that right. If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.

13. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified by the parties below. The parties agree that any action arising out of this Agreement shall be brought in the courts of that jurisdiction.
