WHEREAS

WHEREAS, Client desires that Service Provider perform professional services in connection with a private elopement ceremony and related services as set forth in this Agreement; and

WHEREAS, Service Provider has the experience, personnel and resources to provide such services and is willing to provide those services to Client on the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual promises contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

SCOPE OF WORK

Service Provider will provide the services described below for the Elopement Event. The duties, deliverables, and any persons engaged to perform the services shall be as follows:

PAYMENT TERMS

Client agrees to pay Service Provider the total fee for services rendered as set forth below. All fees are exclusive of applicable taxes unless stated otherwise.

Any undisputed past-due amounts shall bear interest at a rate of per month (or the maximum rate permitted by law), and Client will be responsible for collections costs, including reasonable attorney fees. Service Provider may suspend performance for nonpayment after providing written notice.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall terminate on End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon days' prior written notice. Service Provider may terminate immediately for material breach, nonpayment, or conduct that endangers personnel or property. In the event of termination, Client shall pay Service Provider for all services performed and expenses incurred through the date of termination and any non-cancellable commitments.

CONFIDENTIALITY

Each party acknowledges that during the performance of this Agreement it may receive confidential or proprietary information of the other party. "Confidential Information" includes non-public information regarding the other party's business, personal information of participants, photographs prior to delivery, pricing, and vendor arrangements. Each party agrees not to disclose Confidential Information except as required by law or with the prior written consent of the disclosing party. Confidentiality obligations shall survive termination of this Agreement for a period of two (2) years.

LIMITATION OF LIABILITY; INSURANCE

Service Provider's liability for any claim arising under this Agreement shall be limited to direct damages not to exceed the total fees paid by Client to Service Provider under this Agreement. In no event shall Service Provider be liable for consequential, incidental, punitive, or special damages. Client is responsible for obtaining any permits required for the event and assumes all risk of injury or loss. Service Provider maintains commercially reasonable insurance and may require Client to maintain event liability insurance where applicable.

CANCELLATION POLICY

If Client cancels the event, the retainer is non-refundable. If cancellation occurs within 30 days of the Event Date, Client shall be responsible for 50% of the remaining balance. If cancellation occurs within 7 days of the Event Date, Client shall be responsible for 100% of the remaining balance. Service Provider may cancel for reasons beyond its control and will refund payments for services not yet rendered, subject to deduction for reasonable expenses incurred.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including any attachments, schedules and accepted proposals incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations and representations, whether written or oral.

NOTICES

All notices shall be in writing and delivered to the addresses below by hand, nationally recognized overnight courier, or certified mail (return receipt requested). Notice is effective upon receipt.
