ELOPEMENTS AGREEMENT

This Elopements Agreement (the "Agreement") is entered into as of Effective Date: by and between Client Name: ("Client") and Service Provider Name: ("Provider").

RECITALS

WHEREAS, Client desires to engage Provider to plan, coordinate, and/or provide services for an elopement ceremony and related services for Client on Event Date: at Event Location: ; and

WHEREAS, Provider represents that Provider has the experience, personnel, and equipment necessary to provide the services described below; and

WHEREAS, the parties wish to set forth the terms and conditions under which Provider will provide elopement services to Client.

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:

1. DEFINITIONS

1.1 "Services" means the specific duties and deliverables Provider agrees to perform as described in Section 2 below. "Deliverables" means any tangible work product delivered to Client in connection with the Services.

2. SERVICES

2.1 Scope. Provider will provide the following services for the elopement ceremony (check all that apply and describe any selected "Other" service below):

2.2 Performance. Provider shall provide Services in a professional manner consistent with industry standards and shall supply necessary personnel, equipment, and materials, except as otherwise specified in writing.

4. FEES, PAYMENT, AND EXPENSES

4.1 Payment Methods. Client shall pay by the method agreed with Provider. Provider may require cleared funds prior to rendering Services. Additional travel, lodging, permit, or special equipment expenses reasonably incurred by Provider in connection with the Event shall be reimbursed by Client upon presentation of receipts.

5. CANCELLATION, RESCHEDULING, AND REFUNDS

5.1 Cancellation by Client. If Client cancels more than Cancel Days: days before the Event, Provider will refund any amounts paid less a non-refundable deposit as stated above. If Client cancels within Cancel Forfeiture Days: days of the Event, Client will forfeit Deposit Amount and may remain liable for additional fees for confirmed vendor bookings.

5.2 Rescheduling. Requests to reschedule must be made in writing. Provider will use reasonable efforts to accommodate rescheduling subject to availability. If Provider cannot accommodate the new date, cancellation fees will apply.

6. CLIENT RESPONSIBILITIES

6.1 Cooperation. Client shall provide accurate information, execute consents and permits, secure any required third-party approvals, and ensure venue access at the scheduled time. Client is responsible for compliance with all local laws, permits, and venue rules.

7. VENDORS AND THIRD PARTIES

7.1 Coordination. Provider may coordinate with third-party vendors retained by Client. Provider is not liable for the acts or omissions of third-party vendors not under Provider's direct control, except to the extent Provider has contracted directly with such vendor.

8. INTELLECTUAL PROPERTY & USE OF IMAGES

8.1 Ownership. Unless otherwise agreed in writing, Provider retains copyright in any creative work produced by Provider in connection with the Event. Provider grants Client a non-exclusive license to use Deliverables for personal, non-commercial purposes.

8.2 Use and Credit. Provider may use Deliverables for promotional purposes and may credit Client by name unless Client has checked the box below to prohibit Provider's use:

9. INDEMNIFICATION AND LIMITATION OF LIABILITY

9.1 Indemnification. Each party shall indemnify, defend and hold harmless the other party from and against claims, liabilities, losses, and expenses (including reasonable attorneys' fees) arising from the indemnifying party's negligent acts or willful misconduct in connection with performance under this Agreement.

9.2 Limitation of Liability. EXCEPT FOR A PARTY'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, IN NO EVENT SHALL EITHER PARTY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE AMOUNTS PAID BY CLIENT TO PROVIDER PURSUANT TO THIS AGREEMENT.

10. FORCE MAJEURE

10.1 Neither party shall be liable for delays or failures in performance resulting from acts beyond its reasonable control, including, but not limited to, extreme weather, natural disaster, government action, or pandemics. The affected party shall provide prompt written notice and propose alternative arrangements or rescheduling.

11. INSURANCE

11.1 Provider shall maintain commercially reasonable insurance for the Services. Client is responsible for any venue-required insurance or permits unless otherwise agreed in writing.

12. NOTICES

12.1 All notices must be in writing and delivered by hand, certified mail, or email to the addresses below. Notices shall be deemed given upon receipt.

13. AMENDMENT, WAIVER, COUNTERPARTS

13.1 Amendment. This Agreement may be amended only by a writing signed by both parties.

13.2 Waiver. The failure to enforce any provision shall not constitute a waiver of future enforcement of that or any other provision.

13.3 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

14. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

14.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State specified by the parties: State: , without regard to its conflicts of law rules.

16. MISCELLANEOUS

16.1 Independent Contractor. Provider is an independent contractor. Nothing in this Agreement creates an employment, agency, joint venture, or partnership relationship between the parties.

16.2 Assignment. Neither party may assign this Agreement without the prior written consent of the other party, except that Provider may assign its rights to a successor entity in connection with a sale of substantially all of Provider's assets or business.
