This Email Communication Agreement (the Agreement) is entered into by and between:

Recitals

WHEREAS, Client desires to engage Service Provider to prepare, approve and deliver email communications and associated templates for marketing, transactional, and customer service purposes; and

WHEREAS, Service Provider represents that it has the expertise and resources to develop email copy, template structure, personalization tokens, and delivery instructions in accordance with Client specifications; and

WHEREAS, the parties desire to set forth the terms governing the creation, delivery, payment, confidentiality and permitted use of such email communications.

Scope of Work

Deliverables will include written email templates, subject lines, preview text, suggested call-to-action language, personalization token mapping, and implementation notes sufficient for deployment by Client or Client's designated delivery platform. Revisions:

Payment Terms

Invoices are payable within days of receipt. Late payments bear interest at or the maximum permitted by law, whichever is less.

Term and Termination

This Agreement commences on and continues until unless earlier terminated as provided below.

Either party may terminate for convenience upon days' prior written notice. Either party may terminate for material breach if the breaching party fails to cure within days after written notice of breach.

Confidentiality

Each party shall maintain in confidence all non-public information disclosed by the other party in connection with this Agreement, including templates, recipient lists, analytics, and business processes (Collective: Confidential Information). Confidential Information shall not be disclosed except to employees, contractors, or agents who have a need to know and who are bound by confidentiality obligations at least as protective as those herein. Confidentiality obligations survive termination for a period of three (3) years.

Compliance and Ownership

Service Provider warrants that all creative content delivered under this Agreement will be original or properly licensed and will comply with applicable anti-spam and privacy laws. Client is responsible for maintaining lawful recipient lists and for honoring unsubscribe requests and other regulatory requirements.

Ownership: Upon full payment, Service Provider assigns to Client all right, title and interest in the finalized email templates and copy provided under this Agreement, excluding any pre-existing Provider tools, code, or intellectual property used to generate or deliver templates, which remain Provider's sole property.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

Entire Agreement

This Agreement, including all exhibits and accepted templates, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. Any amendment to this Agreement must be in writing and signed by both parties.
